El Servicio puede tener errores: verifique siempre dos veces, en los canales oficiales y en el expediente, toda actuación, plazo, fecha y documento que le muestre. Estos Términos excluyen garantías, limitan la responsabilidad de la Editora (secciones 16 y 17) y se rigen por la ley de Nueva York, con las salvedades de la sección 20, que también fija el foro y la renuncia al jurado. ## 1. La Editora, el Servicio y sus destinatarios ### 1.1 La Editora Hoyos & Associates P.C. («H&A» o la «Editora»), firma de abogados constituida como Professional Corporation conforme a las leyes del Estado de Nueva York, con domicilio en 15 MetroTech Center, piso 7, Brooklyn, Nueva York 11201, Estados Unidos, y correo mateo@hoyos.law, desarrolla, publica y opera el Buscador de Estados como un servicio no legal, separado de los servicios profesionales que presta a sus clientes. ### 1.2 El Servicio El Buscador de Estados (el «Servicio») es una herramienta de vigilancia y organización de procesos judiciales: una aplicación web privada, en [https://buscador-estados.tail1c476b.ts.net](https://buscador-estados.tail1c476b.ts.net) o en la dirección o punto de acceso seguro que la Editora designe y comunique por correo, a la que solo entra quien tiene una cuenta; pedirla con «Solicitar acceso» no obliga a la Editora a concederla. Es solo para abogados, firmas de abogados, su personal y los clientes que ellos invitan, mayores de dieciocho (18) años; por un cliente menor de edad se invita a su representante legal. Los abogados y su personal lo usan en su actividad profesional, no como consumidores (Ley 1480 de 2011, art. 5, num. 3). Esta caracterización no limita los derechos irrenunciables que correspondan a un Cliente invitado como consumidor; a los Clientes invitados, las secciones 16 a 21 se les aplican solo en la medida que permitan las normas imperativas que los protejan. ### 1.3 Documentos del acuerdo Forman el acuerdo estos Términos, su anexo «Condiciones de tratamiento de datos por cuenta del usuario» (sección 25, el «Anexo») y, si existe, el acuerdo escrito de contraprestación con la Firma usuaria. La Política de privacidad y tratamiento de datos personales del Buscador de Estados (la «Política de privacidad», en la ruta /privacidad) informa cómo trata los datos la Editora y no es parte del contrato, salvo lo que estos Términos o el Anexo incorporan expresamente por remisión a ella (por ejemplo, las medidas de seguridad o la forma de guardar las credenciales). Los avisos de privacidad que se muestran donde se recogen datos la resumen y remiten a ella, y la autorización del Titular se da con una manifestación previa, expresa e informada —la casilla de «Solicitar acceso» o la de la pantalla de aceptación—, no por su sola publicación. Estos Términos regulan solo el Buscador de Estados; los términos o avisos del sitio web de H&A no se incorporan a este acuerdo salvo referencia expresa en un documento aceptado por las partes. ## 2. Definiciones - **Usuario:** persona natural con cuenta en el Servicio. **Usuario profesional:** el de rol Administrador de firma, senior o junior. **Cliente invitado:** el cliente que entra, con rol cliente, al portal que le abre un Usuario profesional. - **Firma usuaria:** la firma de abogados, o el abogado sin firma (su propio Administrador de firma), que usa el Servicio. - **Administrador de la plataforma:** el abogado de la Editora que administra el Servicio. **Administrador de firma:** quien administra las cuentas y los Procesos de su firma. - **Proceso:** el proceso judicial vigilado, identificado por su número de radicación (radicado). - **Contenido del usuario:** lo que el Usuario o su firma cargan, conectan, escriben o generan en el Servicio, y lo que este deriva de ello. - **Fuentes públicas:** los sistemas públicos de información judicial y normativa que el Servicio tenga habilitados en cada momento; a la fecha de esta versión: Consulta de Procesos, publicaciones procesales, SAMAI, Corte Constitucional, Corte Suprema de Justicia, Gestor Normativo de Función Pública, laudos de la Cámara de Comercio de Bogotá, sitios de los despachos y fuentes de tasas de la calculadora. - **Servicios de terceros:** los que el Usuario conecta: su inteligencia artificial (Anthropic u OpenAI), Google Drive, su buzón, Lexius y su calendario. - **Datos Personales, Titular, Tratamiento, Responsable, Encargado, Datos Sensibles, Transferencia y Transmisión:** como los define la Política de privacidad (Ley 1581 de 2012, art. 3; Decreto 1074 de 2015, art. 2.2.2.25.1.3). ## 3. El Servicio no presta servicios legales La Editora es una firma de abogados, pero el Servicio no es un servicio legal. La Editora hace por escrito esta advertencia: > Los servicios que presta esta aplicación no son servicios legales, y respecto de ellos no existe la protección de una relación cliente-abogado. La aplicación no presta asesoría legal. Todos los plazos procesales, los resúmenes generados con inteligencia artificial y la información de expedientes que se suministran tienen fines exclusivamente informativos, deben ser verificados y confirmados por el usuario, por sus propios medios, y no constituyen evaluaciones jurídicas profesionales. Para los efectos de la Regla 5.7 de las Reglas de Conducta Profesional de Nueva York (22 NYCRR Parte 1200), la Editora da este aviso en español y en inglés; su texto en inglés es: > The services provided by this application are not legal services, and the protection of a client-lawyer relationship does not exist with respect to these services. The application does not provide legal advice. All procedural deadlines, AI-generated summaries, or docket information provided are for informational purposes only, must be independently verified and confirmed by the user, and do not constitute professional legal evaluations. Esta advertencia se da por escrito antes del primer uso y antes de cargar datos: en una línea —la primera frase de la advertencia de arriba, en español, que es el idioma de la interfaz, con enlace a esta sección— en el formulario «Solicitar acceso» y en la pantalla de aceptación, y entera, en los dos idiomas, en estos Términos. Los análisis, resúmenes y borradores se generan automáticamente, a petición de un Usuario y con la cuenta de inteligencia artificial que corresponde según la sección 6.5: ningún abogado de la Editora los revisa, aprueba ni adopta como opinión jurídica, y toda revisión o asesoría de un abogado de la Editora requiere un contrato separado de servicios legales. Usar el Servicio no crea ni amplía una relación abogado-cliente con la Editora ni con sus abogados, incluido el Administrador de la plataforma; nada en esta sección elimina las obligaciones de un contrato separado de servicios legales que el Usuario o su cliente tenga con H&A. El soporte de la Editora se limita al funcionamiento del Servicio. ## 4. Aceptación ### 4.1 Cómo se acepta y cómo se prueba En el primer ingreso y con cada versión nueva, antes de poder usar el panel, el Servicio muestra una casilla, que no viene marcada, con el rótulo «He leído y acepto los Términos de servicio, incluido su Anexo de tratamiento de datos, y autorizo el tratamiento de los datos de mi cuenta conforme a la Política de privacidad», y un botón rotulado «Aceptar y continuar». Junto a la casilla están los enlaces a estos Términos, a su Anexo y a la Política de privacidad, y un texto que dice que, al marcarla y pulsar el botón, se celebra un contrato vinculante. Sin marcar la casilla y pulsar el botón no se puede usar el panel. Aceptar estos Términos incluye aceptar el Anexo. La Editora conserva en su control de versiones el texto de cada versión (del que se recalcula su huella SHA-256), los rótulos de la casilla y del botón y la plantilla de la pantalla de aceptación, y registra en la cuenta y en el registro de accesos la versión, la fecha y la hora, la dirección IP y la huella SHA-256 completa de cada texto aceptado (el pie de cada página publicada enseña sus doce primeros caracteres). Aceptar estos Términos no equivale a la autorización que la ley exija por separado para un Tratamiento concreto; cada Servicio de terceros se activa aparte (sección 10). Cada versión se publica, en español y en inglés, en las rutas /terminos y /privacidad, con su texto fuente y sin necesidad de iniciar sesión. Antes de la cuenta, quien pide acceso ve en «Solicitar acceso» un aviso de privacidad y da su autorización para los datos de la solicitud con una casilla propia, que no viene marcada (Política de privacidad, sección 4.2). ### 4.2 Validez y aceptación por una firma Las partes acuerdan que marcar la casilla y pulsar el botón desde la cuenta personal del Usuario, protegida por su contraseña y con el registro descrito, es su firma electrónica y su consentimiento por mensaje de datos (en Colombia, Ley 527 de 1999, arts. 7, 10, 11, 14 y 15, y Decreto 1074 de 2015, arts. 2.2.2.47.1 y siguientes). La Firma usuaria es la que identifica la cuenta de su Administrador de firma y, con su razón social, identificación y domicilio, el acuerdo escrito de contraprestación o la contraparte documental del Anexo que la Editora firma a petición (sección 25.1). Quien acepta por una Firma usuaria declara tener facultades para obligarla. La Firma usuaria queda obligada cuando acepta su representante legal o una persona con autorización suficiente para contratar el Servicio y celebrar el Anexo en su nombre; pedir la creación de cuentas, por sí solo, no acredita esa facultad. Quien acepta sin facultades queda obligado por su propio uso y responde por la inexactitud de su declaración, sin convertirse en Responsable de los datos de la firma ni en garante de sus obligaciones, y la vinculación de la Firma usuaria se rige por las reglas aplicables de representación, mandato, ratificación o apariencia. Cada Usuario acepta también en su propio nombre. Quien no acepte no debe usar el Servicio. ## 5. Cuentas y acceso ### 5.1 Cuentas y contraseñas Las cuentas de los Usuarios profesionales las crea el Administrador de la plataforma o el Administrador de firma, y las de los Clientes invitados, el abogado que los invita. Cada cuenta es personal y nace con una clave temporal que solo sirve para el primer ingreso después de expedida y para cambiarla. Se muestra una sola vez a quien crea la cuenta y, si la cuenta tiene correo, se envía además a ese correo junto con el usuario; cuando se restablece, la nueva contraseña temporal se entrega del mismo modo. En las cuentas de Clientes invitados no se envía por correo: al crear la cuenta solo la ve el abogado que invita al Cliente, y al restablecerla, solo quien la restablece, que puede ser ese abogado o el Administrador de la plataforma. Quien crea una cuenta o restablece una contraseña para otra persona solo usa o comunica la contraseña temporal para que esa persona entre y la cambie: no la conserva, no entra con ella en nombre de esa persona ni la comunica a terceros. El Servicio guarda solo una huella de cada contraseña (scrypt con sal) y frena los intentos fallidos por usuario y por dirección IP. No ofrece verificación en dos pasos. La sesión dura doce (12) horas, o treinta (30) días con «Recordarme». ### 5.2 Responsabilidad por la cuenta El Usuario responde por lo que se haga con su cuenta cuando lo haya autorizado o resulte de no seguir las medidas de seguridad de estos Términos; no responde por accesos debidos a una falla de seguridad, actuación o incumplimiento de la Editora o de sus subencargados. No debe compartirla ni revelar su contraseña, ni siquiera dentro de su firma; debe usar una contraseña única y larga, y no marcar «Recordarme» en equipos compartidos. Si sospecha que su cuenta se vio comprometida, cambia la contraseña y avisa de inmediato por «Reportar un problema» y a mateo@hoyos.law con el asunto «URGENTE — incidente de seguridad»; la Editora puede suspenderla mientras lo verifica. ### 5.3 Roles, muro entre firmas y Administrador de la plataforma Los roles son Administrador de la plataforma, Administrador de firma, senior, junior y Cliente invitado. Cada Firma usuaria es una unidad de trabajo separada: el Servicio está diseñado para que, salvo el Administrador de la plataforma, nadie de otra firma vea sus datos, ni siquiera que sigue el mismo Proceso. Dentro de la firma, los Usuarios profesionales ven y trabajan los Procesos de sus compañeros, con las reservas de la Política de privacidad, y el Administrador de firma los reparte a seniors y juniors, y un senior a juniors. La Editora conserva una sola copia técnica de lo que obtiene de las Fuentes públicas sobre un mismo radicado. Esa copia solo se hace visible a la firma que agrega ese radicado por su cuenta (puede aparecer ya cargada si otra firma ya lo vigilaba); no permite a una firma saber qué otras lo siguen ni ver sus documentos, notas, plazos, comunicaciones ni demás información privada, y frente a cada Firma usuaria la Editora la trata según las instrucciones y finalidades de esa firma. El Administrador de la plataforma tiene acceso técnico a todas las funciones y datos de todas las firmas (el panel con rango de administrador, el servidor y la base de datos completa), con los límites de la sección 9.3. ### 5.4 Desactivación El Administrador de la plataforma, y el Administrador de firma respecto de la suya, pueden desactivar una cuenta: deja de entrar y de recibir avisos, sus plazos pendientes pasan a los abogados de su firma que siguen cada Proceso, y quien la desactiva recibe un aviso con los Procesos que llevaba sola. Desactivar no borra datos (sección 14.4). La Firma usuaria decide quién lleva cada Proceso y a quién pasan los Procesos y plazos de quien se retira. ## 6. Qué hace el Servicio y qué no garantiza Las horas, frecuencias, topes y tiempos de esta sección describen la configuración vigente y los objetivos ordinarios del Servicio; no son un nivel de servicio garantizado y pueden variar por mantenimiento, capacidad, seguridad, cambios de las Fuentes públicas o hechos fuera del control razonable de la Editora, que hará esfuerzos comercialmente razonables por mostrar los errores y emitir los avisos descritos sin garantizar que todo error se detecte ni que todo aviso llegue. ### 6.1 Vigilancia El Servicio consulta las Fuentes públicas a las 08:00 y a las 18:00 (hora de Colombia) y cuando el Usuario pulsa «Revisar ahora», con un máximo de cuarenta y cinco (45) minutos por revisión. Si una fuente falla, cambia de formato o está en mantenimiento, lo anota y se lo muestra al Administrador de la plataforma en el panel y por correo; al Usuario le avisa si uno de sus Procesos no se pudo consultar en tres revisiones seguidas, y el panel de todos avisa si pasan más de veintiséis (26) horas sin una revisión efectiva (el Administrador de la plataforma recibe además un correo). **No garantiza detectar toda actuación, estado, traslado o notificación:** una revisión puede quedar incompleta si se agota su tiempo o si fallan una fuente, el servidor o la red. ### 6.2 Fuentes de terceros La Editora no controla la disponibilidad, el contenido, el formato, los mantenimientos ni los bloqueos de las Fuentes públicas, y algunos despachos no publican en el portal de publicaciones procesales o publican en sitios propios donde el Servicio puede no encontrarlos. Lo que muestra el Servicio puede estar incompleto, retrasado o equivocado: prevalece el registro oficial. ### 6.3 Documentos El Servicio lee documentos PDF (los escaneados, por reconocimiento óptico de caracteres, «OCR»), de Office y comprimidos ZIP, y guarda en texto los estados y traslados por si el despacho los retira. El OCR puede leer mal nombres, números y fechas u omitir páginas. El Servicio está diseñado para no concluir que el radicado del Usuario está ausente de un documento que no se leyó entero. ### 6.4 Plazos y avisos Los términos que la Consulta de Procesos publica con fechas se registran solos. Los del catálogo (que a la fecha de esta versión tiene más de cuatrocientas treinta (430) plantillas, cada una con la norma de la que sale y el texto de esa norma, como sugerencia) solo se proponen: el Usuario profesional verifica la norma, registra el término con un clic y confirma la fecha. El cómputo de días hábiles, festivos y vacancia judicial es una ayuda que depende de datos que pueden cambiar o estar mal cargados. Los vencimientos se avisan en el panel, por correo y en el calendario privado del Usuario; el correo y el calendario dependen de terceros y pueden retrasarse, llegar como correo no deseado o no llegar. ### 6.5 Inteligencia artificial Solo cuando un Usuario lo pide, el Servicio genera resúmenes, informes, respuestas de chat, próximos pasos, análisis de documentos, respuestas con Lexius y borradores de memoriales, con la cuenta de inteligencia artificial de quien invoca la función; el botón «Analizar N documento(s)» analiza también los documentos pendientes de los compañeros de firma que llevan el Proceso, cada documento con la cuenta de inteligencia artificial del abogado al que pertenece. Los informes y los borradores salen marcados como borrador y con una etiqueta de certeza por afirmación que genera el propio modelo —no es una probabilidad calibrada ni la valida un abogado de la Editora—, y en todos ellos las fechas que no aparecen literalmente en el expediente se señalan en rojo. Pueden ser incompletos o equivocados, o citar normas o providencias que no existen o no dicen lo que se les atribuye, y esa señal no detecta todos los errores: el Usuario profesional los revisa antes de usarlos. ### 6.6 Buzón, Google Drive y calendario Si el Usuario conecta su buzón, el Servicio lo lee en modo de solo lectura y cruza con sus Procesos los correos que parecen judiciales. Si conecta Google Drive, lee con permiso de solo lectura (drive.readonly) las carpetas que liga a un Proceso y copia sus archivos al expediente; puede revocar ese acceso en «Mi cuenta» o en [https://myaccount.google.com/permissions](https://myaccount.google.com/permissions). Su calendario privado (archivo .ics) está en un enlace con llave secreta que muestra sus plazos a quien lo tenga. El detalle está en la Política de privacidad. El uso que el Buscador de Estados hace de la información recibida de las API de Google, y su transferencia a cualquier otra aplicación, se ajusta a la Google API Services User Data Policy, incluidos los requisitos de Uso Limitado (Limited Use). ### 6.7 Portal del cliente, honorarios y calculadora El Usuario profesional decide, campo por campo, qué ve su cliente en un portal de solo lectura, y responde por ello. El registro de honorarios (cuotas, pagos y cartera por Proceso) es un dato, no una factura. El Administrador de firma ve y descarga, por cada Proceso y cada Usuario profesional de su firma, también de una cuenta desactivada, los totales de sus honorarios: lo pactado sin IVA, lo cobrado, lo pendiente, lo que está en mora y el saldo y el vencimiento de la próxima cuota, por moneda; el detalle de cada cobro y su contrato solo los ve el Usuario profesional que los registra. La Editora los muestra por instrucción de la Firma usuaria, y el Usuario profesional que registra honorarios en una cuenta de la firma acepta que su Administrador de firma los vea así; la Firma usuaria responde de que ese Administrador esté autorizado para conocerlos, los guarde en reserva y los use, con lo que descargue, solo para administrar su cartera (sección 25.10). La calculadora de intereses usa tasas de la Superintendencia Financiera de Colombia, datos.gov.co, el DANE, FRED y el Banco de la República, actualizadas solas cada semana, sin extrapolar tasas no publicadas; sus resultados deben cotejarse antes de presentarse. ### 6.8 Jurisprudencia, Lexius y base de conocimiento El Servicio busca providencias de la Corte Constitucional, la Corte Suprema de Justicia y el Consejo de Estado, y laudos de la Cámara de Comercio de Bogotá (lo guardado es de cada Usuario); consulta Lexius con la cuenta del Usuario que la conecte, y Lexius recibe las consultas que la inteligencia artificial del Usuario le formula a partir de su pregunta, con la instrucción de no incluir datos del expediente (nombres, radicados, cuantías); y ofrece a los Usuarios profesionales, y a su inteligencia artificial, las notas de doctrina, normas y jurisprudencia del Administrador de la plataforma, como material de consulta y no de asesoría. ### 6.9 Copias, disponibilidad y cambios El servidor hace una copia diaria de la base de datos y guarda las catorce (14) más recientes en él mismo, además de las copias puntuales que el Administrador de la plataforma hace antes de un despliegue o de una supresión, que se borran a los catorce (14) días. No hay copia completa fuera del servidor: si se pierde, puede perderse lo que no esté en la copia que cada Usuario descarga en «Mi cuenta» → «Tu copia de seguridad», y la Editora no garantiza recuperar datos. El Servicio funciona en un solo servidor, depende de proveedores de nube y de red, puede interrumpirse y no tiene un nivel de servicio garantizado. El Administrador de la plataforma puede cerrar el panel a los demás, con un motivo, para mantenimiento, sin detener la vigilancia ni los avisos. La Editora puede cambiar, añadir o retirar funciones, y avisará por correo al Administrador de firma de cada Firma usuaria el retiro de una función de vigilancia o de avisos, salvo urgencia de seguridad o caída de su fuente. El Servicio incluye además «Reportar un problema», la ayuda «Cómo funciona» y temas de apariencia. ## 7. Responsabilidad del abogado El Usuario profesional y su Firma usuaria son los únicos responsables de vigilar sus Procesos en los canales oficiales (consulta de procesos, estados y traslados, micrositios y correos de los despachos, y notificaciones recibidas); de identificar, computar y cumplir sus términos; de lo que radican o presentan, aunque lo preparen con el Servicio; y de lo que muestran a sus clientes. El Servicio es una ayuda y no sustituye esa diligencia. En Colombia, el abogado debe atender con celosa diligencia sus encargos, y dejar de hacer oportunamente las diligencias propias de su actuación es falta disciplinaria (Ley 1123 de 2007, arts. 28 num. 10 y 37 num. 1). Esos deberes, y los de cualquier jurisdicción donde ejerza, siguen siendo suyos: que el Servicio no avise una actuación o un vencimiento no excusa su incumplimiento. Antes de actuar, el Usuario profesional verifica la información en el registro oficial, el expediente y las fuentes originales. También evalúa si el Servicio y cada Servicio de terceros son adecuados para su secreto profesional, sus deberes de confidencialidad y competencia y las instrucciones de sus clientes, con lo que dicen estos Términos y la Política de privacidad sobre dónde están los datos, quién accede, cómo se protegen y cómo se borran. Él decide qué carga y qué envía a su inteligencia artificial. La Firma usuaria responde por sus Usuarios profesionales y supervisa a quienes delega Procesos. ## 8. Clientes invitados El Cliente invitado ve solo lo que su abogado decide mostrarle y puede cambiar su contraseña. Esa información la administra su abogado, no la Editora; puede no estar completa ni al día y no sustituye las notificaciones oficiales. Su relación profesional es con su abogado y se rige por lo que pactaron (si su abogado es de la Editora, por su contrato de servicios profesionales). Sus preguntas sobre el caso van a su abogado; las del portal o de sus Datos Personales, por correo a la dirección de la sección 24. Las secciones 7, 13 y 18 no se le aplican, salvo, en la 18, los daños que el propio Cliente invitado cause dolosamente. ## 9. Contenido del usuario y datos ### 9.1 Propiedad y licencia En la medida en que tengan derechos sobre el Contenido del usuario, el Usuario y su Firma usuaria los conservan —esta disposición no les atribuye propiedad sobre normas, providencias, información pública ni derechos de terceros— y conceden a la Editora una licencia no exclusiva, gratuita y limitada para alojarlo, copiarlo, leerlo, indexarlo, procesarlo, mostrarlo y respaldarlo con los fines de estos Términos, con las sublicencias estrictamente necesarias a los subencargados del Anexo, en los términos de la sección 25.4, y a los Servicios de terceros que el Usuario active. La licencia termina con la supresión, salvo las copias cuya conservación temporal exija la ley o los periodos de respaldo informados. ### 9.2 Garantías del Usuario El Usuario garantiza que tiene derecho a cargar el Contenido del usuario; que cuenta con la autorización de los Titulares, o con una excepción legal, para los Datos Personales de terceros que incluye; que, si incluye Datos Sensibles, cuenta con la autorización explícita del Titular o con una excepción legal (Ley 1581 de 2012, art. 6) y le informó, cuando correspondía, que responder era facultativo; que, si incluye datos de niños, niñas y adolescentes, su Tratamiento es excepcional, respeta su interés superior y sus derechos prevalentes, cuenta con la autorización o el fundamento legal exigible y tiene en cuenta su opinión según su edad y madurez (Ley 1581 de 2012, art. 7; Decreto 1074 de 2015, art. 2.2.2.25.2.9); que cargarlo y enviarlo a sus Servicios de terceros es compatible con su secreto profesional y con las instrucciones de sus clientes; y que no infringe derechos de terceros ni contiene código dañino. ### 9.3 Confidencialidad y acceso de la Editora La Editora trata el Contenido del usuario como confidencial. Por parte de ella, solo acceden a él el Administrador de la plataforma y quienes la Editora autorice por escrito con el mismo deber de reserva, y solo para administrar el Servicio y verificar que funciona, dar el soporte que el Usuario pida, proteger la seguridad e investigar incidentes o abusos, cumplir la ley o una orden de autoridad competente, y reconocer, ejercer o defender sus derechos. Usar el Servicio no convierte a la Firma usuaria en cliente jurídico de H&A, así que la coincidencia de un radicado no impide por sí sola que la Editora o uno de sus abogados, incluido el Administrador de la plataforma, represente a otra parte en un Proceso que el Usuario vigila, incluso a su contraparte; toda representación de la Editora sigue sujeta a sus reglas de conflictos de intereses, confidencialidad y deberes profesionales, y estos Términos no son un consentimiento informado a un conflicto que legalmente requiera consentimiento específico. La Editora no usará el Contenido del usuario en la representación de ningún cliente propio ni lo comunicará al equipo jurídico que intervenga en un asunto adverso. Si H&A o uno de sus abogados representa a una parte cuyos intereses son adversos a los de un cliente de una Firma usuaria en un asunto que esa firma vigila con el Servicio, el abogado que interviene en esa representación no accede al contenido de esa firma sobre el asunto ni participa en la administración de su cuenta: la administración se asigna a otra persona autorizada de la Editora, con las restricciones de acceso que correspondan, y la Firma usuaria puede terminar la relación sin penalidad. Esta medida opera sin perjuicio de las obligaciones profesionales aplicables y no decide por contrato si existe o no un conflicto. ### 9.4 Lo que la Editora no hace y a quién comunica el Contenido del usuario La Editora no vende el Contenido del usuario, no lo usa para publicidad y no entrena con él modelos de inteligencia artificial; lo que cada proveedor de inteligencia artificial haga con lo que recibe depende de sus condiciones (secciones 10 y 25.4). Solo lo comunica: (1) a los Usuarios y Clientes invitados que la Firma usuaria autoriza; (2) a los subencargados del Anexo, bajo las condiciones de servicio de cada uno (sección 25.4); (3) a los Servicios de terceros que el Usuario activa y a los que ordena el envío; (4) al personal autorizado de la Editora para los fines de la sección 9.3; (5) cuando lo exigen la ley o una orden válida de autoridad competente, en lo exigido y, si la ley lo permite, con aviso previo a la Firma usuaria para que pueda oponerse; o (6) en una cesión permitida por la sección 21, si el cesionario asume las mismas obligaciones. ### 9.5 Papeles en el tratamiento de datos La Editora es Responsable de los datos de las cuentas, los accesos, los reportes de problemas y las solicitudes de acceso, conforme a la Política de privacidad. De los Datos Personales del Contenido del usuario, la Firma usuaria es Responsable y la Editora es Encargada, conforme al Anexo. El Tratamiento se rige por la Ley 1581 de 2012, sin perjuicio de otras leyes aplicables. El almacenamiento principal y los respaldos están en Bogotá; algunos datos, copias o comunicaciones se guardan fuera de Colombia en los casos de la sección 25.4 y de la Política de privacidad. El personal autorizado de la Editora accede por conexión cifrada desde Colombia o desde los Estados Unidos, y los Usuarios y Clientes invitados acceden desde donde estén. El acceso desde fuera de Colombia es circulación internacional de los datos; es una Transmisión internacional solo cuando quien accede trata los datos por cuenta de otro —por ejemplo, el personal de la Editora por cuenta de una Firma usuaria—, y entonces se rige por el Anexo. ### 9.6 Lo que el Usuario puede borrar, y qué pasa al borrarlo El Usuario puede borrar sus plazos, borradores, jurisprudencia guardada y conversaciones con la inteligencia artificial; quitar un documento del expediente; desligar la carpeta de Google Drive de un Proceso; y archivar un Proceso, dejar de seguirlo o borrarlo. Cada cosa tiene su efecto: - **Quitar un documento** lo saca del expediente y de lo que ve la inteligencia artificial, pero no borra su archivo del servidor: ese archivo se suprime, pasando por la papelera, cuando el Usuario deja de seguir el Proceso, cuando el Proceso se borra, cuando desliga la carpeta de Google Drive de la que vino o cuando se suprimen los datos de su cuenta. Un documento traído de una carpeta de Google Drive que sigue ligada vuelve en la siguiente sincronización mientras siga en esa carpeta: para que no vuelva, hay que sacarlo de la carpeta en Drive o desligar la carpeta. - **Desligar la carpeta de Google Drive** de un Proceso suprime del expediente lo que se trajo de ella, con su texto y su análisis, y lleva sus copias a la papelera; en Google Drive no se toca nada, y si se vuelve a ligar, se trae otra vez. Desconectar Google Drive en «Mi cuenta» borra el permiso guardado y pide a Google revocarlo; lo ya traído sigue en los Procesos hasta que se desliga su carpeta, se deja de seguir el Proceso o se suprimen los datos de la cuenta. - **Archivar** un Proceso (sacarlo de vigilancia) no borra nada. **Quitar una delegación** saca el Proceso del panel del abogado delegado y borra sus avisos de ese Proceso, pero no el resto de lo suyo (plazos, notas, documentos, honorarios, informe) ni sus archivos: se conserva para la firma y vuelve si se le delega otra vez (aunque ya nadie siga el Proceso: sección 14.4), y sus plazos pendientes pasan a los abogados de su firma que siguen el Proceso. - **Borrar un Proceso que otro abogado también sigue** es dejar de seguirlo: se suprime todo lo del Usuario en ese Proceso —plazos, avisos, notas, conversaciones con la inteligencia artificial y sus próximos pasos, resúmenes que pidió de sus documentos, borradores, honorarios con su contrato, informes, documentos y lo que enseñaba a su cliente— y sus archivos pasan a la papelera. Su jurisprudencia guardada se conserva, desligada del Proceso, y los correos de su buzón siguen en su página de correos. Lo público del Proceso (la copia técnica de la sección 5.3) y lo de los demás abogados no cambia. - **Borrar un Proceso siendo el único abogado que lo sigue**, o borrarlo el Administrador de la plataforma para todos, lo suprime entero: sus actuaciones, partes, documentos, estados y providencias descargados de los portales, y todo lo de cada abogado que lo seguía; sus archivos pasan a la papelera. Se conservan los correos que el buzón de un abogado había archivado en él, que vuelven a su página de correos sin Proceso, y la jurisprudencia guardada, desligada. - **La papelera:** lo que el Servicio borra de su disco pasa a una papelera del servidor, fuera del panel y de las copias de los usuarios, durante catorce (14) días, por si se borró por error; después se suprime. El Servicio no mueve ni borra archivos fuera de su propia carpeta de documentos (no toca la carpeta del caso en el computador del abogado ni su Google Drive), salvo la nota que él mismo escribe sobre un Proceso en la base de conocimiento del Administrador de la plataforma, que se borra con el Proceso; tampoco borra un archivo que otro registro todavía usa; los estados y traslados guardados de los portales siguen su propio plazo (sección 14.4). Lo borrado sale de inmediato de la base de datos, y de los respaldos en catorce (14) días, cuando rotan las copias diarias y se borran las copias puntuales (sección 6.9). La supresión de los datos de una cuenta entera se pide al Administrador de su firma o a la Editora (sección 14.4). ## 10. Servicios de terceros Cada Servicio de terceros se conecta bajo el contrato del Usuario con su proveedor, del que la Editora no es parte: su disponibilidad, costos, seguridad, conservación de datos y uso para entrenar modelos dependen de la cuenta del Usuario. La Editora no responde por las decisiones, interrupciones, precios, términos ni tratamientos independientes de un Servicio de terceros contratado por el Usuario. Esta exclusión no cubre los errores de la integración que la Editora desarrolló, los envíos no ordenados por el Usuario ni el incumplimiento de las obligaciones de seguridad de la propia Editora. Las funciones de inteligencia artificial envían al proveedor elegido lo que describe la Política de privacidad (sección 9): la pregunta y el expediente del Proceso, incluidos extractos de las notas de la sección 6.8; solo el documento que se resume o analiza; o solo la pregunta de una consulta jurídica que el Administrador de la plataforma hace sin atarla a un Proceso; cada Usuario las usa con su propia cuenta y, mientras no conecte una, no están disponibles para él; la cuenta de inteligencia artificial de la Editora solo se usa en los Procesos y las consultas de H&A —los Procesos que llevan el Administrador de la plataforma o un abogado de su firma, y las consultas jurídicas que el propio Administrador de la plataforma hace sin atarlas a un Proceso— y para revisar, mantener y depurar el propio Servicio, nunca para hacer el trabajo de abogados de otras firmas sobre sus Procesos, documentos o datos (si una revisión del Servicio tiene que mirar registros o tablas en que aparecen datos de sus expedientes, esos datos se usan solo para revisar el Servicio: sección 25.4); y ninguna tarea automática del Servicio envía datos a un proveedor de inteligencia artificial: el análisis automático de documentos está apagado y, si alguna vez se encendiera, esta versión se cambiaría antes. Las credenciales del Usuario se guardan como dice la Política de privacidad (sección 11.1). El Usuario puede desconectar cada servicio en «Mi cuenta» y debe revocar en el proveedor los accesos que ya no use. ## 11. Fuentes públicas El Servicio hace, por instrucción del Usuario, consultas programadas a sistemas públicos de información judicial y normativa: para vigilar les envía los radicados y números de proceso de los Procesos vigilados y, en las búsquedas, lo que el Usuario escribe. Lo que obtiene son datos accesibles en sistemas públicos de información judicial: la Editora los trata por cuenta de las Firmas usuarias y solo para vigilar sus Procesos —lo que incluye cotejar los estados y traslados de sus despachos para identificar o verificar notificaciones de los Procesos que la firma vigile o agregue después—, y no los publica ni los ofrece a terceros. Esos sistemas son de terceros y publican condiciones de uso y medidas técnicas (como robots.txt) que pueden restringir o prohibir las consultas automatizadas y la reutilización de su contenido. La Editora no declara que una fuente deba permitir consultas programadas ni que el Servicio tenga derecho a exigirle acceso, y puede reducir la frecuencia, cambiar el método, limitar, suspender o retirar cualquier fuente o descarga, sin responsabilidad, para ajustarse a esas reglas, a una medida técnica, a una solicitud de autoridad o a un riesgo jurídico o de continuidad. Como Responsable, el Usuario responde por la legitimidad del Tratamiento de los datos de las partes de sus Procesos en el marco de su mandato y de la defensa en juicio. El Usuario asume el riesgo de que una fuente deje de estar disponible y sigue verificando sus Procesos por los canales oficiales. Esta asignación de riesgos rige solo entre la Editora y el Usuario: no limita derechos de terceros ni exonera a la Editora de su propia conducta cuando la ley no lo permita. La Editora no tiene relación con la Rama Judicial ni con las cortes, y el Servicio no es un sistema oficial ni está avalado por ellas. ## 12. Uso aceptable El Usuario usará el Servicio solo para su ejercicio profesional (el Cliente invitado, para consultar su portal) y conforme a la ley. No debe probar la vulnerabilidad del Servicio ni eludir su seguridad; rasparlo, descargar su contenido en masa, automatizar su acceso o sobrecargarlo; intentar acceder a datos de otra firma o de otro Usuario, o a funciones ajenas a su rol; subir código dañino; usarlo con fines ilícitos, para perfilar o vigilar personas en lugar de procesos, o contra derechos de terceros; compartir su cuenta, o revender, sublicenciar u ofrecer a terceros el acceso; aplicarle ingeniería inversa, salvo lo que la ley permita; ni usarlo para desarrollar un producto que compita con él. La Editora puede suspender a quien incumpla esta sección (sección 14.2). ## 13. Contraprestación La Editora fija el precio por cada cuenta de Usuario profesional activa al mes, según los periodos de actividad que registra el Servicio; las cuentas de Clientes invitados no se cobran. El precio, la forma de pago, la facturación y los impuestos se pactan aparte, por escrito, con cada Firma usuaria. Sin ese acuerdo, el uso es de evaluación, y la Editora puede condicionarlo o terminarlo con siete (7) días de aviso. Los cambios de precio se avisan con treinta (30) días de antelación. El informe de cobro del panel es un dato para facturar, no una factura. ## 14. Suspensión y terminación ### 14.1 Terminación El Usuario puede terminar la relación en cualquier momento, pidiendo la desactivación de su cuenta al Administrador de su firma o a la Editora, y la Firma usuaria, por aviso escrito de su Administrador de firma a la Editora; si el acuerdo escrito de contraprestación fija un preaviso, se aplica ese preaviso. La Editora puede terminar sin causa con aviso por correo con al menos treinta (30) días de antelación (siete (7) en el uso de evaluación), salvo que el acuerdo escrito de contraprestación fije otro plazo, y de inmediato por incumplimiento grave, riesgo de seguridad, orden de autoridad, imposibilidad jurídica o falta de pago. Si termina sin causa un periodo pagado por anticipado, devuelve la parte proporcional no devengada, salvo pacto económico escrito en contrario. ### 14.2 Suspensión La Editora puede suspender o limitar el acceso de un Usuario o de una Firma usuaria, con aviso previo, por incumplimiento de estos Términos, por un riesgo de seguridad o por falta de pago; y sin aviso previo ante un riesgo grave, como una cuenta comprometida o un ataque en curso, caso en el que avisará tan pronto como sea posible. ### 14.3 Efectos Al terminar la relación con una Firma usuaria, el Servicio deja de vigilar sus Procesos y de avisar sus vencimientos; al desactivarse una cuenta, esta deja de entrar y de recibir avisos. Desde entonces, el Usuario vigila sus Procesos y controla sus términos por otros medios. ### 14.4 Conservación, copia y supresión - **Cuenta desactivada:** sus datos se conservan mientras la Firma usuaria mantenga su relación con la Editora, y para el cobro y la defensa de reclamaciones. A solicitud del Administrador de su firma —o del Titular, cuando se trata solo de sus datos de cuenta o la cuenta no pertenece a ninguna firma—, y con la cuenta ya desactivada, la Editora los suprime dentro del término del reclamo (quince (15) días hábiles, prorrogables hasta por ocho (8), artículo 15 de la Ley 1581 de 2012), salvo lo que deba conservarse para esos fines o por ley: la cuenta deja de seguir todos sus Procesos (los que solo ella seguía sin archivar dejan de vigilarse y lo público de ellos se conserva sin vínculo con la cuenta); se borran todas sus filas en la base de datos (plazos, avisos, notas, borradores, documentos, jurisprudencia guardada, correos de sus buzones, honorarios, informes, resúmenes, conversaciones con la inteligencia artificial y lo que enseñaba a sus clientes y, si es la cuenta de un Cliente invitado, sus accesos a los portales), sus credenciales de los Servicios de terceros (a Google se le pide revocar el permiso de Drive), su copia de seguridad y los reportes de problemas que envió, y sus archivos pasan a la papelera (sección 9.6). De la cuenta queda solo lo que el cobro necesita —el usuario, la firma, el rol y los periodos en que estuvo activa—, mientras sea necesario para el cobro y la defensa de reclamaciones y como máximo cinco (5) años desde la supresión, sin nombre, correo, contraseña, preferencias ni constancias de aceptación (la prueba de las aceptaciones sigue en el registro de accesos); siguen su propio plazo las líneas del registro de accesos, las copias de respaldo se eliminan al rotar, en catorce (14) días, y se conserva lo que otros usuarios anotaron con ese usuario en sus propios registros. No se suprimen con ella las cuentas de los clientes que el abogado invitó. Una solicitud del Titular no autoriza por sí sola a borrar el Contenido del usuario del que la Firma usuaria es Responsable: la Editora la traslada a la firma (sección 25.6) y sigue su instrucción. - **Fin de la relación con una Firma usuaria:** sus datos se suprimen dentro de los noventa (90) días siguientes, salvo los respaldos, cuyas copias diarias rotan y cuyas copias puntuales se borran a los catorce (14) días (sección 6.9), y lo que la ley obligue a conservar. Si la firma pide copia dentro de ese plazo, se le entrega antes, en el formato de «Tu copia de seguridad». - **Un Proceso que ya nadie sigue** —porque se suprimieron los datos de la cuenta que lo seguía o porque quien lo seguía dejó de hacerlo sin borrarlo— conserva lo público (actuaciones, partes y documentos del juzgado) hasta un (1) año después de la última vez que el Servicio lo consultó o, si entonces aún queda en él algo de algún abogado, hasta que deje de quedar, lo que ocurra después, y entonces se suprime (sus archivos, a la papelera). Lo que quede en él de algún abogado, como lo conservado de una delegación quitada, no se borra por el paso del tiempo: se suprime con los datos de la cuenta de ese abogado o, al terminar la relación de su firma con la Editora, con los demás datos de esa firma, y mientras quede, el Proceso se conserva entero, con lo público, para que su firma pueda volver a vigilarlo o delegarlo sin perder lo hecho. Si el único abogado que lo sigue lo borra, se suprime entero al momento (sus archivos, a la papelera). Archivar un Proceso no es dejar de seguirlo. - **Registros:** el registro de accesos se conserva cinco (5) años desde cada anotación, solo para seguridad, trazabilidad, investigación de incidentes, cumplimiento, cobro y defensa de reclamaciones, con acceso restringido; las constancias de aceptación guardadas en la cuenta, mientras exista la cuenta —se suprimen con sus datos—; la prueba de cada aceptación (versión, fecha y hora, dirección IP y huella) queda en el registro de accesos durante sus cinco (5) años; el historial de revisiones, dos (2) años; los registros técnicos, como máximo noventa (90) días (sección 25.8). ### 14.5 Subsistencia La terminación no afecta los pagos causados ni las secciones 3, 7, 9, 14.4 y 15 a 21, ni el Anexo mientras la Editora conserve datos de la Firma usuaria. ## 15. Propiedad intelectual El Servicio, su código, su diseño, su catálogo de términos, sus textos de ayuda, las notas de su base de conocimiento y sus marcas, incluidos el nombre «Buscador de Estados» y su logotipo, son de la Editora o de sus licenciantes. El Usuario recibe un derecho personal, no exclusivo, intransferible y revocable de usar el Servicio mientras su cuenta esté activa, sin licencia sobre el código ni sobre las marcas. Las normas y las providencias no son de la Editora, y los componentes de terceros se rigen por sus propias licencias. La Editora puede usar libremente las sugerencias que el Usuario le envíe sobre el Servicio, sin revelar el Contenido del usuario. ## 16. Exclusión de garantías > **EL SERVICIO SE PRESTA «TAL CUAL» Y «SEGÚN DISPONIBILIDAD», CON TODOS SUS DEFECTOS. EN LA MÁXIMA MEDIDA QUE PERMITA LA LEY APLICABLE, LA EDITORA EXCLUYE TODA GARANTÍA EXPRESA, IMPLÍCITA O LEGAL, INCLUIDAS LAS DE COMERCIABILIDAD (MERCHANTABILITY), IDONEIDAD PARA UN FIN PARTICULAR, EXACTITUD Y NO INFRACCIÓN, Y NO GARANTIZA QUE EL SERVICIO DETECTE TODA ACTUACIÓN, ESTADO, TRASLADO O NOTIFICACIÓN, QUE FUNCIONE SIN INTERRUPCIONES NI ERRORES, QUE LOS PLAZOS QUE PROPONE O CALCULA SEAN EXACTOS, QUE LO QUE PRODUCE LA INTELIGENCIA ARTIFICIAL SEA CORRECTO, QUE LOS AVISOS LLEGUEN A TIEMPO NI QUE LAS FUENTES PÚBLICAS O LOS SERVICIOS DE TERCEROS ESTÉN DISPONIBLES O SEAN EXACTOS.** Esta sección no excluye las garantías que la ley declare irrenunciables, los compromisos expresos de estos Términos y del Anexo, ni los deberes legales de confidencialidad, seguridad y Tratamiento de datos, y no ampara declaraciones fraudulentas ni intencionalmente falsas. ## 17. Limitación de responsabilidad ### 17.1 Daños excluidos > **EN LA MÁXIMA MEDIDA QUE PERMITA LA LEY APLICABLE, LA EDITORA NO RESPONDE POR DAÑOS INDIRECTOS, INCIDENTALES, ESPECIALES, CONSECUENCIALES O PUNITIVOS, NI POR LUCRO CESANTE, PÉRDIDA DE INGRESOS, DE CLIENTES O DE DATOS, NI POR LA PÉRDIDA DE UN TÉRMINO, DE UNA OPORTUNIDAD PROCESAL O DE UN PROCESO, AUNQUE SE LE HAYA ADVERTIDO DE SU POSIBILIDAD, CON INDEPENDENCIA DE QUE SE ALEGUEN COMO DIRECTOS, INDIRECTOS O CONSECUENCIALES.** ### 17.2 Tope > **EN LA MÁXIMA MEDIDA QUE PERMITA LA LEY APLICABLE, LA RESPONSABILIDAD TOTAL DE LA EDITORA POR TODAS LAS RECLAMACIONES DERIVADAS DEL SERVICIO O DE ESTOS TÉRMINOS, FRENTE A UNA FIRMA USUARIA, SUS USUARIOS Y SUS CLIENTES INVITADOS, NO EXCEDERÁ EL MAYOR ENTRE (A) LO QUE ESA FIRMA USUARIA, SUS USUARIOS Y SUS CLIENTES INVITADOS, EN CONJUNTO, HAYAN PAGADO A LA EDITORA POR EL SERVICIO EN LOS DOCE (12) MESES ANTERIORES AL HECHO QUE ORIGINA LA PRIMERA RECLAMACIÓN RELACIONADA Y (B) CIEN DÓLARES DE LOS ESTADOS UNIDOS (USD 100); EL TOPE ES ÚNICO PARA LA FIRMA USUARIA, TODOS SUS USUARIOS Y SUS CLIENTES INVITADOS.** ### 17.3 Excepciones y distribución del riesgo Las secciones 16, 17.1 y 17.2 excluyen la responsabilidad de la Editora por culpa en cualquiera de sus grados: la Editora solo responde por dolo —que incluye el fraude, y cuya condonación futura no vale (Código Civil colombiano, art. 1522)—, por willful misconduct o conducta intencional conforme a la ley de Nueva York, y en lo que la ley aplicable no permita excluir o limitar. En lo que se rija por la ley colombiana, las partes modifican por contrato las reglas de responsabilidad, como lo permiten los artículos 1604 y 1616 del Código Civil. Estas limitaciones son una distribución razonable del riesgo entre profesionales y un elemento esencial del precio y de la existencia del Servicio. El Servicio puede tener errores: el Usuario verifica siempre dos veces, en los canales oficiales y en el expediente, lo que el Servicio le muestra. ## 18. Indemnidad La Firma usuaria y el Usuario profesional que haya realizado la conducta mantendrán indemnes y defenderán a la Editora y a sus accionistas, abogados y empleados frente a toda reclamación, demanda, responsabilidad, daño, pérdida, transacción y costo razonable de defensa, incluidos honorarios de abogados, que provenga de terceros, en la medida en que la cause (a) el uso del Servicio contrario a estos Términos o a la ley, o (b) el Contenido del usuario cargado o conectado sin la autorización o el fundamento legal necesarios o en violación de derechos de terceros, de las normas de protección de datos o del secreto profesional. Esta obligación no se aplica a los Clientes invitados (salvo lo previsto en la sección 8), no comprende sanciones cuya traslación esté prohibida y no cubre la parte de una reclamación causada por la Editora. La Editora avisará con prontitud la reclamación; la parte que indemniza puede llevar la defensa con abogados razonablemente aceptables para la Editora, y ningún acuerdo que admita responsabilidad, imponga obligaciones no dinerarias o afecte los derechos o la reputación de la Editora se celebrará sin su consentimiento escrito. ## 19. Plazo para reclamar En la medida en que la ley aplicable lo permita, toda acción judicial contra la Editora derivada de estos Términos o del Servicio debe interponerse dentro del año (1) siguiente a la fecha en que la causa de acción nazca y pueda ejercerse legalmente; después, no podrá interponerse. Esta cláusula no acorta un plazo que la ley prohíba modificar (en Colombia, los plazos legales de prescripción y caducidad), no se aplica si produjera el vencimiento antes de que la acción pudiera razonablemente interponerse y no limita las facultades de ninguna autoridad administrativa. ## 20. Ley aplicable y foro ### 20.1 Ley aplicable Estos Términos se rigen por la ley sustantiva del Estado de Nueva York, Estados Unidos, sin aplicar sus normas sobre conflicto de leyes, salvo en la medida en que el derecho colombiano resulte aplicable a las obligaciones que se ejecutan en Colombia (Código de Comercio, art. 869) o en que otra norma no pueda excluirse válidamente por acuerdo. ### 20.2 Normas no desplazadas La elección anterior no excluye la Ley 1581 de 2012 y sus normas reglamentarias, la competencia de la Superintendencia de Industria y Comercio ni ninguna otra norma colombiana o de la jurisdicción donde resida el Usuario que no pueda ser válidamente renunciada o desplazada. ### 20.3 Foro Salvo las actuaciones que correspondan a la Superintendencia de Industria y Comercio o a otra autoridad con competencia irrenunciable, toda controversia judicial derivada de estos Términos o del Servicio se presentará exclusivamente ante los tribunales estatales ubicados en el condado de Kings, Nueva York, o, si existe una base independiente de jurisdicción federal sobre la materia, ante el Tribunal de Distrito de los Estados Unidos para el Distrito Este de Nueva York. Cada parte consiente la jurisdicción personal de esos tribunales y renuncia a objetar ese foro por inconveniente. Esta cláusula no crea jurisdicción federal donde la ley federal no la confiere. No habrá arbitraje. ### 20.4 Renuncia al jurado > **EN LA MEDIDA EN QUE LA LEY LO PERMITA, LAS PARTES RENUNCIAN AL JUICIO POR JURADO EN TODA CONTROVERSIA DERIVADA DE ESTOS TÉRMINOS O DEL SERVICIO.** ## 21. Disposiciones generales - **Separabilidad:** una disposición inválida se aplica en la mayor medida posible, y las demás siguen vigentes. - **Cesión:** la Editora puede ceder estos Términos a una afiliada o a un sucesor por fusión, adquisición o venta de activos, con aviso al Usuario; el Usuario, solo con consentimiento escrito de la Editora. - **Fuerza mayor:** ninguna parte responde por el retraso o el incumplimiento causado directamente por un hecho imprevisible e irresistible conforme a la ley aplicable (en Colombia, Código Civil, art. 64) —por ejemplo, una caída o un bloqueo de las Fuentes públicas, de internet o de un proveedor, un ataque informático, un acto de autoridad o un desastre—, siempre que haya tomado medidas razonables de prevención, mitigación y continuidad y avise sin demora; ninguno de esos hechos es por sí solo fuerza mayor. No excusa los pagos causados ni los deberes de seguridad y confidencialidad cuyo incumplimiento sea imputable a la parte afectada. - **Notificaciones:** la Editora notifica al Usuario en el correo de su cuenta o en el panel, y el Usuario a la Editora en mateo@hoyos.law. Las terminaciones, los incidentes de seguridad y los cambios que requieran aceptación no se notifican solo en el panel: van también al último correo registrado, y la Editora conserva la constancia del envío. Un correo se tiene por recibido el día hábil siguiente a su envío, salvo aviso de que no se entregó. El Usuario acepta las comunicaciones electrónicas y mantiene su correo al día en «Mi cuenta». - **Idiomas:** las dos versiones son oficiales; si discrepan, prevalece la española en lo que se rige por la ley colombiana y la inglesa en lo que se rige por la ley del Estado de Nueva York. - **Acuerdo completo:** estos Términos, el Anexo y, si existe, el acuerdo escrito de contraprestación (sección 1.3) son el acuerdo completo sobre el Servicio; si se contradicen, prevalece el Anexo en el Tratamiento por cuenta de la Firma usuaria, el acuerdo escrito de contraprestación solo en sus materias económicas expresas y estos Términos en lo demás. - **Independencia, no renuncia y terceros:** las partes son independientes, sin sociedad, agencia, mandato ni relación laboral o abogado-cliente; no exigir una disposición no es renunciar a ella; y nadie más adquiere derechos por estos Términos, salvo los protegidos por la sección 18. ## 22. Cambios a estos Términos La Editora puede modificar estos Términos y el Anexo. Cada versión lleva su número y su fecha de vigencia, se publica en la ruta /terminos y se anuncia antes de aplicarse por correo a cada cuenta y, al entrar, en la pantalla de aceptación, donde se vuelve a marcar la casilla; hasta entonces no se puede seguir usando el panel, y rige la versión aceptada. Los cambios sustanciales (los que amplían las obligaciones o la responsabilidad del Usuario, reducen sus derechos o cambian el Tratamiento de sus datos) solo obligan desde esa aceptación expresa: seguir usando el Servicio no basta. Quien no acepte puede pedir la desactivación de su cuenta y la copia de sus datos (sección 14.4). Los cambios de precio siguen la sección 13. Los cambios de la Política de privacidad se anuncian del mismo modo (Política de privacidad, sección 17). ## 23. Recomendaciones de seguridad - Use una contraseña única y larga (una frase de cuatro o más palabras, o dieciséis (16) caracteres o más), guárdela en un gestor de contraseñas y no la comparta. - En equipos compartidos, cierre la sesión y no marque «Recordarme»; mantenga al día su sistema operativo y su navegador. - Los avisos salen de una cuenta del dominio hoyos.law, y la Editora nunca le pedirá su contraseña por correo, teléfono ni mensaje: escríbala solo en la dirección del Servicio. - Descargue «Tu copia de seguridad» al menos una vez al mes y guárdela en un lugar seguro. - Verifique siempre dos veces —en los canales oficiales y en el expediente— lo que le muestre el Servicio, y lo que produzca la inteligencia artificial (citas, fechas y hechos) antes de usarlo. - Revise si su proveedor de inteligencia artificial conserva sus datos o entrena con ellos, y revoque en «Mi cuenta» y en cada proveedor los accesos que ya no use. - Trate el enlace de su calendario como una contraseña; al reportar un problema, adjunte solo lo necesario, y avise de inmediato cualquier acceso indebido por «Reportar un problema» y a mateo@hoyos.law con el asunto «URGENTE — incidente de seguridad». ## 24. Anexo: Condiciones de tratamiento de datos por cuenta del usuario ### 25.1 Naturaleza, partes y datos Este Anexo es el contrato de transmisión de datos personales entre la Firma usuaria, como Responsable, y la Editora, como Encargada (Decreto 1074 de 2015, arts. 2.2.2.25.5.1 y 2.2.2.25.5.2). Queda celebrado con la aceptación de estos Términos, antes de que la firma cargue o conecte expedientes; a solicitud de la Firma usuaria, la Editora firma con ella una contraparte documental del mismo contenido, para constancia, sin que esa firma adicional sea condición de su eficacia. La Firma usuaria se identifica como dice la sección 4.2. Cubre los Datos Personales del Contenido del usuario de la Firma usuaria (partes, apoderados, clientes, testigos y demás personas de sus Procesos), incluidos los datos accesibles en sistemas públicos de información judicial que el Servicio obtiene para sus radicados y los Datos Sensibles o de menores que el expediente contenga. No cubre los datos de los que la Editora es Responsable (sección 9.5) ni los Procesos de los abogados de la Editora. ### 25.2 Instrucciones y actividades La Editora trata esos datos solo por cuenta de la Firma usuaria y para prestarle el Servicio. Sus instrucciones son estos Términos y lo que sus Usuarios profesionales ordenan en el panel (agregar un radicado, conectar un buzón o una carpeta, subir un documento, pulsar una función de inteligencia artificial, mostrar algo a su cliente o borrar). El Tratamiento consiste en recolectar de las Fuentes públicas y de los Servicios de terceros conectados, almacenar, extraer el texto (con OCR si hace falta), indexar y cruzar con publicaciones y correos, calcular plazos y alertar, mostrar a los Usuarios autorizados, enviar a los Servicios de terceros que el Usuario activa, respaldar y suprimir. La Editora trata los datos conforme a las instrucciones documentadas en estos Términos, en este Anexo y en las instrucciones lícitas que la Firma usuaria comunique por los canales de la sección 24; aplica las obligaciones de la Firma usuaria bajo la política de Tratamiento de la información de esta, y trata los datos de acuerdo con las finalidades que los Titulares autorizaron y con las leyes aplicables (Decreto 1074 de 2015, art. 2.2.2.25.5.2). La Firma usuaria le suministra, cuando haga falta, la versión vigente de su política y las restricciones que apliquen a categorías concretas de datos; si esa política exige algo que el Servicio no hace, lo dice por escrito antes de cargar los datos. La Editora informa antes del Tratamiento correspondiente si una instrucción no puede ejecutarse técnicamente o si considera razonablemente que infringe la ley, y mientras se resuelve puede suspender solo la operación afectada; ninguna instrucción amplía el alcance del Servicio sin aceptación escrita de la Editora. ### 25.3 Obligaciones de la Editora La Editora tratará los datos a nombre de la Firma usuaria conforme a los principios que los tutelan, salvaguardará la seguridad de las bases de datos que los contienen, guardará confidencialidad aun después de terminada la relación y cumplirá los deberes del artículo 18 de la Ley 1581 de 2012. En particular, como Encargada, la Editora: - garantiza al Titular, en todo tiempo, el pleno y efectivo ejercicio del derecho de hábeas data; - conserva la información en condiciones de seguridad que impidan su adulteración, pérdida, consulta, uso o acceso no autorizado o fraudulento; - realiza oportunamente la actualización, rectificación o supresión que instruya la Firma usuaria o que proceda conforme a la ley; - actualiza la información que le reporte la Firma usuaria dentro de los cinco (5) días hábiles siguientes a su recibo; - recibe y tramita las consultas y los reclamos en los términos de los artículos 14 y 15 de la Ley 1581 de 2012, sin perjuicio de trasladarlos a la Firma usuaria cuando a esta corresponda decidirlos (sección 25.6); - adopta un manual interno de políticas y procedimientos para atender consultas y reclamos; - registra la leyenda «reclamo en trámite», solo en el espacio de la Firma usuaria Responsable a la que corresponde el reclamo, dentro de los dos (2) días hábiles siguientes al recibo del reclamo completo; la ficha del Proceso la muestra a los abogados de esa firma que lo siguen —también a quien de esa firma se sume mientras dure— y les llega como alerta a los que tienen la cuenta activa y no lo han archivado, nunca a otras firmas que sigan el mismo Proceso; se retira cuando se decide el reclamo, y se avisa; - registra la leyenda «información en discusión judicial» del mismo modo, solo para esa firma, cuando una autoridad le notifique un proceso sobre la calidad del dato, y la mantiene hasta la decisión definitiva; - se abstiene de circular la información controvertida por el Titular cuyo bloqueo haya ordenado la Superintendencia de Industria y Comercio; - permite el acceso solo a las personas autorizadas; - informa a esa Superintendencia las violaciones de los códigos de seguridad y los riesgos en la administración de la información de los Titulares; y - cumple las instrucciones y los requerimientos de esa Superintendencia. ### 25.4 Seguridad, personal y subencargados Las medidas de seguridad son las que describe la Política de privacidad, entre ellas el cifrado del disco en reposo (AES de 256 bits), el cifrado en tránsito (TLS hasta el servidor de la Editora), la protección de las credenciales de su sección 11.1, el muro entre firmas y las sesiones de inteligencia artificial de cada abogado, con su propia configuración y sin herramientas que lean o escriban en el servidor (con ChatGPT, además, dentro de un aislamiento del sistema). El Servicio corre en un único servidor virtual; la llave que cifra las credenciales está en él (protege frente a copias, archivos y registros expuestos, no frente a quien entre al servidor); el Administrador de la plataforma tiene acceso administrativo a todo, con los límites de la sección 9.3; no hay verificación en dos pasos; y ningún sistema es invulnerable. La Editora revisa periódicamente la necesidad de controles adicionales (autenticación reforzada, separación de privilegios, copias fuera del servidor). La Editora mantiene el programa de seguridad descrito en la Política de privacidad (sección 11.1), concebido para cumplir la N.Y. General Business Law § 899-bb; ese programa no es una garantía de que nunca ocurra un incidente. Solo acceden a los datos el Administrador de la plataforma y quienes la Editora autorice por escrito con igual deber de reserva, para los fines de la sección 9.3. La Editora contrata a cada subencargado bajo las condiciones de servicio de ese proveedor, solo le encarga la función de la tabla y sigue respondiendo ante la Firma usuaria por lo que delega en ellos, sin perjuicio de las defensas y limitaciones válidamente aplicables. La cuenta de inteligencia artificial de la Editora es una suscripción Claude Max de Anthropic, que se rige por las condiciones de Anthropic para consumidores y no incluye un acuerdo de tratamiento de datos. La Editora tiene desactivado en ella el uso de las conversaciones para entrenar los modelos de Anthropic; aun así, según esas condiciones, Anthropic puede conservar lo que recibe y revisarlo, y usar para entrenar sus modelos lo que marque para una revisión de seguridad o lo que la Editora le envíe como comentario sobre una respuesta. La Editora avisará por correo al Administrador de firma de cada Firma usuaria, con treinta (30) días de antelación, todo subencargado nuevo o cambiado, salvo urgencia de seguridad o de continuidad, que avisará cuanto antes; la Firma usuaria que se oponga con motivos razonables puede terminar la relación sin penalidad. Los Servicios de terceros no son subencargados de la Editora, sino proveedores del Usuario que reciben datos por su instrucción; la Firma usuaria responde por evaluarlos y por la Transferencia o Transmisión de cada envío. ### 25.5 Ubicación y transmisiones internacionales La base de datos y los archivos principales del Servicio se alojan en un servidor de Oracle Cloud Infrastructure en Bogotá (Colombia); algunos datos, copias o comunicaciones también se guardan fuera de Colombia en los casos de la sección 25.4 y de la Política de privacidad. Los datos salen hacia los Estados Unidos por los subencargados de la sección 25.4 y por lo que el Usuario envía, con su cuenta, a sus Servicios de terceros; el personal autorizado de la Editora puede acceder a ellos por conexión cifrada desde los Estados Unidos; a las Fuentes públicas van los radicados y números de proceso vigilados y lo que el Usuario escribe en sus búsquedas. El acceso desde fuera de Colombia es circulación internacional de los datos; es una Transmisión internacional solo cuando quien accede trata los datos por cuenta de otro —por ejemplo, el personal de la Editora por cuenta de una Firma usuaria—, y entonces se rige por este Anexo. Los Estados Unidos figuran en la lista de países con nivel adecuado de protección de la Superintendencia de Industria y Comercio (Circular Externa 005 de 2017, Título V, Capítulo Tercero, numeral 3.2 de la Circular Única, modificada por la Circular Externa 008 de 2017). Al aceptar este Anexo, la Firma usuaria autoriza las Transmisiones a los subencargados y los envíos a Anthropic descritos en la sección 25.4. Para cada Servicio de terceros que active, la Firma usuaria determina, según las condiciones del proveedor, si el envío es una Transmisión a un Encargado (y entonces cuenta con el contrato que exigen las normas) o una Transferencia a otro Responsable (y entonces cuenta con la autorización de los Titulares, una excepción del artículo 26 de la Ley 1581 de 2012 o el mecanismo internacional exigible). La Editora ejecuta el envío solo por instrucción del Usuario y responde por la seguridad de su propia integración, no por las decisiones independientes del proveedor. ### 25.6 Peticiones de los Titulares Si un Titular presenta a la Editora una consulta o un reclamo sobre datos de los que la Firma usuaria es Responsable, la Editora se lo trasladará dentro de los dos (2) días hábiles siguientes e informará de ello al Titular (Ley 1581 de 2012, art. 15). Colaborará para que la Firma usuaria responda en los términos de los artículos 14 y 15 de esa ley (consultas: diez (10) días hábiles, prorrogables hasta por cinco (5); reclamos: quince (15) días hábiles, prorrogables hasta por ocho (8)), y ejecutará en esos términos la búsqueda, exportación, rectificación o supresión que la firma le pida y no pueda hacer en el panel. ### 25.7 Incidentes de seguridad Si la Editora conoce una violación de seguridad que afecte datos de una Firma usuaria, avisa a su Administrador de firma, con lo que se sepa (qué ocurrió, qué datos y Titulares pueden estar afectados, qué se hizo y quién es el contacto), sin dilación indebida y, en todo caso, dentro de las setenta y dos (72) horas siguientes a tener conocimiento razonable del incidente; el aviso inicial puede ser preliminar y se completa a medida que se sabe más. Informa a la Superintendencia de Industria y Comercio por el canal, con el contenido y en el plazo que fijen la ley y las instrucciones de esa Superintendencia vigentes al momento del incidente, y colabora con la Firma usuaria en las notificaciones que a esta correspondan como Responsable. Cuando un incidente pueda constituir una violación de la seguridad del sistema («breach of the security of the system») respecto de «información privada» de residentes del Estado de Nueva York en el sentido de la N.Y. General Business Law § 899-aa, la Editora hace las determinaciones que exige esa ley y, si la violación debe notificarse, hace o facilita los avisos que correspondan: si mantiene esa información por cuenta de una Firma usuaria, que es su propietaria o licenciataria, avisa a la firma de inmediato, dentro del plazo de setenta y dos (72) horas de esta sección, que es más corto que el máximo de treinta (30) días de esa ley; si la Editora es la propietaria o licenciataria de la información, hace directamente los avisos a residentes y autoridades que le correspondan de la forma más expedita posible y sin demora injustificada, y en todo caso a más tardar treinta (30) días después del descubrimiento (salvo la demora que pida una autoridad por una investigación penal), y colabora con los que correspondan a la Firma usuaria. ### 25.8 Registro de las operaciones La Editora conserva cinco (5) años desde cada anotación el registro de accesos (con la fecha y la hora, el evento, el usuario y, en las entradas, las salidas, los intentos fallidos de entrada, las solicitudes de acceso y las aceptaciones, la dirección IP), solo para seguridad, trazabilidad, investigación de incidentes, cumplimiento, cobro y defensa de reclamaciones y con acceso restringido, y registra cada revisión con sus fases, errores y avisos. Las constancias de aceptación guardadas en la cuenta se conservan mientras exista la cuenta —se suprimen con sus datos—; la prueba de cada aceptación (versión, fecha y hora, dirección IP y huella) queda en el registro de accesos durante sus cinco (5) años. Los registros técnicos, que pueden contener radicados, nombres de archivos y lo que se busca en el panel, se guardan en un archivo por día y cada archivo se borra como tarde a los ochenta y nueve (89) días de su última línea, para que ninguna línea pase de noventa (90) días; el diario del sistema del servidor conserva como máximo noventa (90) días. El historial de revisiones se conserva dos (2) años: al empezar cada revisión se borran las de más de dos años. ### 25.9 Supresión, devolución e información Al terminar la relación, la Editora entrega la copia y suprime los datos conforme a la sección 14.4, incluidas la última copia de seguridad generada en el servidor y las credenciales de los Servicios de terceros; lo borrado del disco pasa por la papelera de catorce (14) días de la sección 9.6. Atenderá por escrito las solicitudes razonables de la Firma usuaria para demostrar el cumplimiento de este Anexo, sin dar acceso a sus sistemas ni a datos de otras firmas. ### 25.10 Deberes de la Firma usuaria Como Responsable, la Firma usuaria tiene la autorización de los Titulares, o una excepción legal, para cada dato que carga o conecta; les informa lo que la ley exige; suministra solo datos cuyo Tratamiento esté autorizado; comunica oportunamente a la Editora las novedades, las rectificaciones y los datos en discusión por un reclamo; atiende las consultas y los reclamos que la Editora le traslade; designa como Administrador de firma a quien esté autorizado para conocer lo que el Servicio le muestra de la firma, incluidos los totales de su cartera (sección 6.7), lo sujeta a reserva y responde por el uso y la custodia de lo que descargue; y cumple los demás deberes del artículo 17 de la Ley 1581 de 2012. ### 25.11 Vigencia y prelación Este Anexo rige mientras la Editora trate datos por cuenta de la Firma usuaria, y la confidencialidad y la seguridad subsisten hasta la supresión de los datos. En ese Tratamiento prevalece sobre el resto de estos Términos. Las secciones 16 a 20 se aplican a este Anexo, sin perjuicio de las sanciones de la autoridad y de lo que la ley no permita limitar. # Terms of Service of Buscador de Estados **Version 1.0 · Effective 26 September 2026** | Document | Terms of Service of Buscador de Estados | |---|---| | Entity | Hoyos & Associates P.C. The Publisher, the Service, and Its Users ### 1.1 The Publisher Hoyos & Associates P.C. (“H&A” or the “Publisher”), a law firm organized as a Professional Corporation under the laws of the State of New York, with offices at 15 MetroTech Center, 7th Floor, Brooklyn, New York 11201, United States, and e-mail mateo@hoyos.law, develops, publishes, and operates Buscador de Estados as a nonlegal service, separate from the professional services it provides to its clients. ### 1.2 The Service Buscador de Estados (the “Service”) is a tool for monitoring and organizing court proceedings: a private web application, at [https://buscador-estados.tail1c476b.ts.net](https://buscador-estados.tail1c476b.ts.net) or at such other secure address or access point as the Publisher designates and communicates by e-mail, which only account holders can enter; requesting an account through “Solicitar acceso” (Request access) does not oblige the Publisher to grant it. It is only for lawyers, law firms, their staff, and the clients they invite, all eighteen (18) years of age or older; for a client who is a minor, the client's legal representative is invited. Lawyers and their staff use it in their professional activity, not as consumers (Colombian Law 1480 of 2011, Article 5, numeral 3). This characterization does not limit the non-waivable rights that an Invited Client may have as a consumer; Sections 16 through 21 apply to Invited Clients only to the extent permitted by the mandatory rules that protect them. ### 1.3 Documents Forming the Agreement The agreement consists of these Terms, their annex “Condiciones de tratamiento de datos por cuenta del usuario” (Conditions for Processing Data on Behalf of the User) (Section 25, the “Annex”), and, if one exists, the written fee agreement with the User Firm. The Privacy Policy and Personal Data Processing Policy of Buscador de Estados (the “Privacy Policy,” at the path /privacidad) explains how the Publisher processes data and is not part of the contract, except for what these Terms or the Annex expressly incorporate by reference to it (for example, the security measures or the way credentials are stored). The privacy notices shown where data are collected summarize it and refer to it, and the Data Subject's authorization is given by a prior, express, and informed act—the box in “Solicitar acceso” (Request access) or the one on the acceptance screen—not by its mere publication. These Terms govern only Buscador de Estados; the terms or notices of H&A's website are not incorporated into this agreement unless expressly referenced in a document accepted by the parties. ## 2. Definitions - **User:** a natural person with an account in the Service. **Professional User:** a User with the role of Firm Administrator, Senior, or Junior. **Invited Client:** a client who enters, with the client role, the portal that a Professional User opens for the client. - **User Firm:** the law firm, or the lawyer practicing without a firm (who is the lawyer's own Firm Administrator), that uses the Service. - **Platform Administrator:** the Publisher's lawyer who administers the Service. **Firm Administrator:** the person who administers the accounts and Proceedings of a User Firm. - **Proceeding:** the court proceeding monitored in the Service, identified by its case number (radicado). - **User Content:** what the User or the User's firm uploads, connects, writes, or generates in the Service, and what the Service derives from it. - **Public Sources:** the public judicial and legal information systems that the Service has enabled from time to time; as of the date of this version: the Consulta de Procesos, the court publications portal, SAMAI, the Constitutional Court, the Supreme Court of Justice, the Gestor Normativo of Función Pública, the arbitral awards of the Bogotá Chamber of Commerce, the courts' own websites, and the rate sources of the calculator. - **Third-Party Services:** those the User connects: the User's artificial intelligence provider (Anthropic or OpenAI), Google Drive, the User's mailbox, Lexius, and the User's calendar. - **Personal Data, Data Subject (Titular), Processing (Tratamiento), Controller (Responsable), Processor (Encargado), Sensitive Data, Transfer (Transferencia), and Transmission (Transmisión):** as defined in the Privacy Policy (Law 1581 of 2012, Article 3; Decree 1074 of 2015, Article 2.2.2.25.1.3). ## 3. The Service Does Not Provide Legal Services The Publisher is a law firm, but the Service is not a legal service. The Publisher makes the following statement in writing: > The services provided by this application are not legal services, and the protection of a client-lawyer relationship does not exist with respect to these services. The application does not provide legal advice. All procedural deadlines, AI-generated summaries, or docket information provided are for informational purposes only, must be independently verified and confirmed by the user, and do not constitute professional legal evaluations. For purposes of Rule 5.7 of the New York Rules of Professional Conduct (22 NYCRR Part 1200), the Publisher gives this notice in English and in Spanish; its Spanish text is: > Los servicios que presta esta aplicación no son servicios legales, y respecto de ellos no existe la protección de una relación cliente-abogado. La aplicación no presta asesoría legal. Todos los plazos procesales, los resúmenes generados con inteligencia artificial y la información de expedientes que se suministran tienen fines exclusivamente informativos, deben ser verificados y confirmados por el usuario, por sus propios medios, y no constituyen evaluaciones jurídicas profesionales. This statement is given in writing before first use and before any data are uploaded: in one line—the first sentence of the Spanish text of the statement set forth above, Spanish being the language of the interface, with a link to this Section—in the “Solicitar acceso” (Request access) form and on the acceptance screen, and in full, in both languages, in these Terms. Analyses, summaries, and drafts are generated automatically, at a User's request and with the artificial intelligence account that applies under Section 6.5: no lawyer of the Publisher reviews, approves, or adopts them as a legal opinion, and any review or advice by a lawyer of the Publisher requires a separate legal services agreement. Using the Service does not create or expand an attorney-client relationship with the Publisher or with any of its lawyers, including the Platform Administrator; nothing in this Section eliminates the obligations under a separate legal services agreement that the User or the User's client has with H&A. The Publisher's support is limited to the operation of the Service. ## 4. Acceptance ### 4.1 How Acceptance Is Given and Proved At first sign-in and with each new version, before the panel can be used, the Service displays an unchecked box labeled “He leído y acepto los Términos de servicio, incluido su Anexo de tratamiento de datos, y autorizo el tratamiento de los datos de mi cuenta conforme a la Política de privacidad” (I have read and accept the Terms of Service, including their Data Processing Annex, and I authorize the processing of my account data in accordance with the Privacy Policy) and a button labeled “Aceptar y continuar” (Accept and continue). Next to the box are the links to these Terms, to their Annex, and to the Privacy Policy, and a statement that checking the box and clicking the button creates a binding contract. The panel cannot be used without checking the box and clicking the button. Accepting these Terms includes accepting the Annex. The Publisher keeps in its version control system the text of each version (from which its SHA-256 hash is recomputed), the labels of the box and the button, and the template of the acceptance screen, and records in the account and in the access log the version, the date and time, the IP address, and the full SHA-256 hash of each accepted text (the footer of each published page shows its first twelve characters). Accepting these Terms is not equivalent to any authorization that the law requires separately for a specific Processing activity; each Third-Party Service is activated separately (Section 10). Each version is published, in Spanish and in English, at the paths /terminos and /privacidad, with its source text, and can be read without signing in. Before any account exists, anyone requesting access sees a privacy notice in “Solicitar acceso” (Request access) and gives authorization for the request data by checking a separate box that is not pre-checked (Privacy Policy, Section 4.2). ### 4.2 Validity and Acceptance on Behalf of a Firm The parties agree that checking the box and clicking the button from the User's personal account, protected by the User's password and with the record described above, is the User's electronic signature and consent by data message (in Colombia, Law 527 of 1999, Articles 7, 10, 11, 14, and 15, and Decree 1074 of 2015, Articles 2.2.2.47.1 et seq.). The User Firm is the firm identified by its Firm Administrator's account and, with its legal name, identification number, and domicile, by the written fee agreement or by the documentary counterpart of the Annex that the Publisher signs upon request (Section 25.1). Whoever accepts on behalf of a User Firm represents having authority to bind it. The User Firm is bound when its legal representative, or a person with sufficient authority to contract for the Service and enter into the Annex on its behalf, accepts; requesting the creation of accounts does not, by itself, evidence that authority. Whoever accepts without authority is bound as to that person's own use and is liable for the inaccuracy of that representation, without becoming the Controller of the firm's data or a guarantor of its obligations, and whether the User Firm is bound is governed by the applicable rules on agency, mandate, ratification, or apparent authority. Each User also accepts in the User's own name. Whoever does not accept must not use the Service. ## 5. Accounts and Access ### 5.1 Accounts and Passwords Professional Users' accounts are created by the Platform Administrator or by the Firm Administrator, and Invited Clients' accounts by the lawyer who invites them. Each account is personal and starts with a temporary password that only serves for the first sign-in after it is issued and to change it. It is shown only once to the person who creates the account and, if the account has an e-mail address, is also sent to it together with the username; when it is reset, the new temporary password is delivered in the same way. For Invited Clients' accounts it is not sent by e-mail: when the account is created, only the inviting lawyer sees it, and when it is reset, only whoever resets it, who may be that lawyer or the Platform Administrator. Whoever creates an account or resets a password for another person uses or communicates the temporary password only so that the person can sign in and change it: they do not keep it, do not sign in with it on that person's behalf, and do not disclose it to third parties. The Service stores only a hash of each password (scrypt with salt) and throttles failed sign-in attempts by user and by IP address. It does not offer two-step verification. A session lasts twelve (12) hours, or thirty (30) days with “Recordarme” (Remember me). ### 5.2 Responsibility for the Account The User is responsible for what is done with the User's account when the User has authorized it or when it results from the User's failure to follow the security measures in these Terms; the User is not responsible for access resulting from a security failure, act, or breach of the Publisher or its sub-processors. The User must not share the account or disclose the password, not even within the User's firm; must use a unique and long password; and must not check “Recordarme” on shared computers. If the User suspects that the account has been compromised, the User changes the password and reports it immediately through “Reportar un problema” (Report a problem) and to mateo@hoyos.law with the subject line “URGENTE — incidente de seguridad” (URGENT — security incident); the Publisher may suspend the account while it investigates. ### 5.3 Roles, the Wall Between Firms, and the Platform Administrator The roles are Platform Administrator, Firm Administrator, Senior, Junior, and Invited Client. Each User Firm is a separate work unit: the Service is designed so that, except for the Platform Administrator, no one from another firm sees its data, not even the fact that it follows the same Proceeding. Within a firm, Professional Users see and work on their colleagues' Proceedings, subject to the limits in the Privacy Policy, and the Firm Administrator assigns Proceedings to Seniors and Juniors, and a Senior to Juniors. The Publisher keeps a single technical copy of what it obtains from the Public Sources about a given case number. That copy becomes visible only to a firm that adds that case number on its own (it may appear already loaded if another firm was already monitoring it); it does not allow a firm to learn which other firms follow it or to see their documents, notes, deadlines, communications, or other private information, and, as to each User Firm, the Publisher processes it in accordance with that firm's instructions and purposes. The Platform Administrator has technical access to all functions and data of all firms (the panel with administrator rights, the server, and the complete database), subject to the limits of Section 9.3. ### 5.4 Deactivation The Platform Administrator, and the Firm Administrator for the Firm Administrator's own firm, may deactivate an account: it can no longer sign in or receive alerts, its pending deadlines pass to the lawyers of its firm who follow each Proceeding, and whoever deactivates it receives a notice listing the Proceedings it handled alone. Deactivation does not delete data (Section 14.4). The User Firm decides who handles each Proceeding and to whom the Proceedings and deadlines of a departing person are reassigned. ## 6. What the Service Does and What It Does Not Guarantee The times, frequencies, limits, and durations in this Section describe the current configuration and the ordinary targets of the Service; they are not a guaranteed service level and may vary because of maintenance, capacity, security, changes in the Public Sources, or events beyond the reasonable control of the Publisher, which will use commercially reasonable efforts to display the errors and issue the alerts described, without guaranteeing that every error will be detected or that every alert will be delivered. ### 6.1 Monitoring The Service queries the Public Sources at 08:00 and 18:00 (Colombia time) and whenever the User clicks “Revisar ahora” (Check now), with a maximum of forty-five (45) minutes per review. If a source fails, changes its format, or is under maintenance, the Service records it and shows it to the Platform Administrator in the panel and by e-mail; it alerts the User if one of the User's Proceedings could not be queried in three consecutive reviews, and everyone's panel warns if more than twenty-six (26) hours pass without an effective review (the Platform Administrator also receives an e-mail). **It does not guarantee that it will detect every docket entry, docket notice, notice of filing, or notification:** a review may be incomplete if its time runs out or if a source, the server, or the network fails. ### 6.2 Third-Party Sources The Publisher does not control the availability, content, format, maintenance, or blocking of the Public Sources, and some courts do not publish on the court publications portal or publish on their own sites, where the Service may not find them. What the Service shows may be incomplete, late, or wrong: the official record prevails. ### 6.3 Documents The Service reads PDF documents (scanned ones through optical character recognition, “OCR”), Office documents, and ZIP archives, and saves as text the docket notices (estados) and notices of filings (traslados) in case the court removes them. OCR may misread names, numbers, and dates or skip pages. The Service is designed not to conclude that the User's case number is absent from a document that was not read in full. ### 6.4 Deadlines and Alerts Deadlines that the Consulta de Procesos publishes with dates are recorded automatically. Those in the catalog (which, as of the date of this version, has more than four hundred thirty (430) templates, each with its statutory reference and the text of that rule, as a suggestion) are only proposed: the Professional User verifies the rule, records the deadline with one click, and confirms the date. The computation of business days, holidays, and judicial recess (vacancia judicial) is an aid that depends on data that may change or be loaded incorrectly. Deadlines are announced in the panel, by e-mail, and in the User's private calendar; e-mail and calendar depend on third parties and may be delayed, land in the spam folder, or never arrive. ### 6.5 Artificial Intelligence Only when a User requests it does the Service generate summaries, reports, chat answers, next steps, document analyses, answers using Lexius, and draft court pleadings and motions (memoriales), with the artificial intelligence account of whoever invokes the function; the “Analizar N documento(s)” (Analyze N documents) button also analyzes the pending documents of the firm colleagues who handle the Proceeding, each document with the artificial intelligence account of the lawyer it belongs to. Reports and drafts are marked as drafts and carry a certainty label for each statement generated by the model itself—it is not a calibrated probability and is not validated by a lawyer of the Publisher—and in all of them dates that do not appear literally in the case file are highlighted in red. They may be incomplete or wrong, or cite statutes or decisions that do not exist or do not say what is attributed to them, and that highlighting does not catch every error: the Professional User reviews them before using them. ### 6.6 Mailbox, Google Drive, and Calendar If the User connects a mailbox, the Service reads it in read-only mode and matches the e-mails that appear to be judicial against the User's Proceedings. If the User connects Google Drive, the Service reads, with read-only permission (drive.readonly), the folders the User links to a Proceeding and copies their files to the case file; the User may revoke that access in “Mi cuenta” (My account) or at [https://myaccount.google.com/permissions](https://myaccount.google.com/permissions). The User's private calendar (.ics file) is at a link with a secret key that shows the User's deadlines to whoever has it. The details are in the Privacy Policy. Buscador de Estados' use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. ### 6.7 Client Portal, Fees, and Calculator The Professional User decides, field by field, what the client sees in a read-only portal, and is responsible for it. The fee record (installments, payments, and receivables per Proceeding) is data, not an invoice. The Firm Administrator sees and downloads, for each Proceeding and each Professional User of the firm, including a deactivated account, the totals of that user's fees: the amount agreed without VAT, the amount collected, the amount outstanding, the amount in arrears, and the balance and due date of the next installment, by currency; the detail of each fee record and its agreement are seen only by the Professional User who records them. The Publisher shows them on the instruction of the User Firm, and a Professional User who records fees in a firm account accepts that the Firm Administrator sees them in this way; the User Firm is responsible for that administrator being authorized to know them, keeping them confidential, and using them, together with anything downloaded, only to manage its receivables (Section 25.10). The interest calculator uses rates from the Superintendencia Financiera de Colombia, datos.gov.co, DANE, FRED, and the Banco de la República, updated automatically every week, without extrapolating rates that have not been published; its results must be checked before being filed. ### 6.8 Case Law, Lexius, and Knowledge Base The Service searches decisions of the Constitutional Court, the Supreme Court of Justice, and the Council of State, and arbitral awards of the Bogotá Chamber of Commerce (what is saved belongs to each User); it queries Lexius with the account of the User who connects it, and Lexius receives the queries that the User's artificial intelligence formulates from the User's question, with the instruction not to include case file data (names, case numbers, amounts); and it offers Professional Users, and their artificial intelligence, the Platform Administrator's notes on legal doctrine, statutes, and case law, as reference material and not as advice. ### 6.9 Copies, Availability, and Changes The server makes a daily copy of the database and keeps the fourteen (14) most recent copies on the same server, in addition to the one-off copies the Platform Administrator makes before a deployment or a deletion, which are deleted after fourteen (14) days. There is no complete copy outside the server: if it is lost, anything that is not in the copy each User downloads in “Mi cuenta” → “Tu copia de seguridad” (Your backup) may be lost, and the Publisher does not guarantee data recovery. The Service runs on a single server, depends on cloud and network providers, may be interrupted, and has no guaranteed service level. The Platform Administrator may close the panel to others, with a stated reason, for maintenance, without stopping monitoring or alerts. The Publisher may change, add, or remove functions, and will notify each User Firm's Firm Administrator by e-mail of the removal of a monitoring or alert function, except in a security emergency or if its source goes down. The Service also includes “Reportar un problema” (Report a problem), the “Cómo funciona” (How it works) help, and display themes. ## 7. The Lawyer's Responsibility The Professional User and the User Firm are solely responsible for monitoring their Proceedings through the official channels (the case lookup, docket notices and notices of filings, the courts' microsites and e-mails, and the notifications they receive); for identifying, computing, and meeting their deadlines; for what they file or submit, even if prepared with the Service; and for what they show their clients. The Service is an aid and does not replace that diligence. In Colombia, a lawyer must attend to the lawyer's engagements with zealous diligence, and failing to perform in a timely manner the steps proper to the lawyer's work is a disciplinary offense (Law 1123 of 2007, Article 28, numeral 10, and Article 37, numeral 1). Those duties, and those of any jurisdiction in which the lawyer practices, remain the lawyer's own: the Service's failure to alert a docket entry or a deadline does not excuse noncompliance. Before acting, the Professional User verifies the information in the official record, the case file, and the original sources. The Professional User also assesses whether the Service and each Third-Party Service are appropriate for the lawyer's professional secrecy, duties of confidentiality and competence, and clients' instructions, relying on what these Terms and the Privacy Policy say about where the data are, who accesses them, how they are protected, and how they are deleted. The Professional User decides what to upload and what to send to the User's artificial intelligence. The User Firm is responsible for its Professional Users and supervises those to whom it delegates Proceedings. ## 8. Invited Clients An Invited Client sees only what the client's lawyer decides to show and may change the client's password. That information is managed by the lawyer, not by the Publisher; it may be incomplete or out of date and does not replace official notifications. The client's professional relationship is with the client's lawyer and is governed by what they agreed (if the lawyer belongs to the Publisher, by their professional services agreement). Questions about the case go to the lawyer; questions about the portal or the client's Personal Data go by e-mail to the address in Section 24. Sections 7, 13, and 18 do not apply to Invited Clients, except, as to Section 18, for damage that the Invited Client personally causes with intent (dolo). ## 9. User Content and Data ### 9.1 Ownership and License To the extent they hold rights in the User Content, the User and the User Firm retain them—this provision does not grant them ownership of statutes, court decisions, public information, or third-party rights—and grant the Publisher a non-exclusive, royalty-free, limited license to host, copy, read, index, process, display, and back up the User Content for the purposes of these Terms, with the sublicenses strictly necessary to the sub-processors in the Annex, on the terms of Section 25.4, and to the Third-Party Services the User activates. The license ends upon deletion, except for copies whose temporary retention is required by law or by the disclosed backup periods. ### 9.2 User Warranties The User warrants that the User has the right to upload the User Content; that the User has the authorization of the Data Subjects, or a legal exception, for the third parties' Personal Data it contains; that, if it includes Sensitive Data, the User has the Data Subject's explicit authorization or a legal exception (Law 1581 of 2012, Article 6) and informed the Data Subject, where applicable, that answering was optional; that, if it includes data of children and adolescents, their Processing is exceptional, respects their best interests and their prevailing rights, has the required authorization or legal basis, and takes their views into account according to their age and maturity (Law 1581 of 2012, Article 7; Decree 1074 of 2015, Article 2.2.2.25.2.9); that uploading it and sending it to the User's Third-Party Services is consistent with the User's professional secrecy and clients' instructions; and that it does not infringe third-party rights or contain malicious code. ### 9.3 Confidentiality and Publisher Access The Publisher treats User Content as confidential. On the Publisher's side, only the Platform Administrator and those whom the Publisher authorizes in writing under the same duty of confidentiality access it, and only to administer the Service and verify that it works, provide the support the User requests, protect security and investigate incidents or abuse, comply with the law or an order of a competent authority, and establish, exercise, or defend the Publisher's rights. Using the Service does not make the User Firm a client of H&A for legal services, so the fact that a case number matches does not by itself prevent the Publisher or one of its lawyers, including the Platform Administrator, from representing another party in a Proceeding the User monitors, even the User's opposing party; any representation by the Publisher remains subject to its rules on conflicts of interest, confidentiality, and professional duties, and these Terms are not informed consent to any conflict that legally requires specific consent. The Publisher will not use User Content in representing any client of its own or communicate it to the legal team working on an adverse matter. If H&A or one of its lawyers represents a party whose interests are adverse to those of a client of a User Firm in a matter that firm monitors with the Service, the lawyer involved in that representation does not access that firm's content concerning the matter or take part in the administration of its account: administration is assigned to another authorized person of the Publisher, with the appropriate access restrictions, and the User Firm may terminate the relationship without penalty. This measure operates without prejudice to the applicable professional obligations and does not determine by contract whether or not a conflict exists. ### 9.4 What the Publisher Does Not Do; To Whom It Discloses User Content The Publisher does not sell User Content, does not use it for advertising, and does not train artificial intelligence models with it; what each artificial intelligence provider does with what it receives depends on its terms (Sections 10 and 25.4). It discloses User Content only: (1) to the Users and Invited Clients that the User Firm authorizes; (2) to the sub-processors in the Annex, under each one's terms of service (Section 25.4); (3) to the Third-Party Services that the User activates and to which the User directs the sending; (4) to the Publisher's authorized personnel for the purposes of Section 9.3; (5) when required by law or by a valid order of a competent authority, to the extent required and, where the law permits, with prior notice to the User Firm so that it may object; or (6) in an assignment permitted by Section 21, if the assignee assumes the same obligations. ### 9.5 Roles in Data Processing The Publisher is the Controller of account data, access data, problem reports, and access requests, as set out in the Privacy Policy. For the Personal Data in the User Content, the User Firm is the Controller and the Publisher is the Processor, as set out in the Annex. The Processing is governed by Law 1581 of 2012, without prejudice to other applicable laws. Storage and backups are located in Bogotá; some data, copies, or communications are stored outside Colombia in the cases in Section 25.4 and in the Privacy Policy. The Publisher's authorized personnel access the data through an encrypted connection from Colombia or from the United States, and Users and Invited Clients access them from wherever they are. Access from outside Colombia is international circulation of the data; it is an international Transmission only when whoever accesses the data processes them on another's behalf—for example, the Publisher's personnel on behalf of a User Firm—and it is then governed by the Annex. ### 9.6 What the User Can Delete, and What Happens When Deleting It The User may delete the User's deadlines, drafts, saved case law, and artificial intelligence conversations; remove a document from the case file; unlink the Google Drive folder of a Proceeding; and archive a Proceeding, stop following it, or delete it. Each has its own effect: - **Removing a document** takes it out of the case file and out of what the artificial intelligence sees, but does not delete its file from the server: that file is deleted, through the trash, when the User stops following the Proceeding, when the Proceeding is deleted, when the User unlinks the Google Drive folder it came from, or when the data of the User's account are deleted. A document brought from a Google Drive folder that is still linked returns at the next synchronization for as long as it remains in that folder: to keep it out, it must be removed from the folder in Drive or the folder must be unlinked. - **Unlinking the Google Drive folder** of a Proceeding removes from the case file what was brought from it, with its text and its analysis, and moves its copies to the trash; nothing is touched in Google Drive, and if the folder is linked again, its files are brought again. Disconnecting Google Drive in “Mi cuenta” (My account) deletes the stored permission and asks Google to revoke it; what was already brought stays in the Proceedings until its folder is unlinked, the Proceeding is no longer followed, or the account's data are deleted. - **Archiving** a Proceeding (taking it out of monitoring) deletes nothing. **Removing a delegation** takes the Proceeding out of the delegated lawyer's panel and deletes that lawyer's alerts for it, but not the rest of that lawyer's work (deadlines, notes, documents, fees, report) or files: it is kept for the firm and returns if the Proceeding is delegated again (even if no one follows the Proceeding any longer: Section 14.4), and the lawyer's pending deadlines pass to the lawyers of the same firm who follow the Proceeding. - **Deleting a Proceeding that another lawyer also follows** means stopping following it: everything of the User in that Proceeding is deleted—deadlines, alerts, notes, artificial intelligence conversations and next steps, summaries requested of its documents, drafts, fees with their agreement, reports, documents, and what was shown to the client—and the User's files go to the trash. The User's saved case law is kept, unlinked from the Proceeding, and the e-mails from the User's mailbox remain on the User's e-mail page. The public part of the Proceeding (the technical copy of Section 5.3) and the other lawyers' work do not change. - **Deleting a Proceeding as the only lawyer who follows it**, or its deletion by the Platform Administrator for everyone, deletes it entirely: its docket entries, parties, documents, docket notices and decisions downloaded from the portals, and everything of each lawyer who followed it; its files go to the trash. The e-mails that a lawyer's mailbox had filed under it are kept and return to that lawyer's e-mail page without a Proceeding, as is the saved case law, unlinked. - **The trash:** what the Service deletes from its disk goes to a trash folder on the server, outside the panel and the users' copies, for fourteen (14) days, in case it was deleted by mistake; after that it is deleted. The Service does not move or delete files outside its own documents folder (it does not touch the case folder on the lawyer's computer or the lawyer's Google Drive), except the note it writes itself about a Proceeding in the Platform Administrator's knowledge base, which is deleted with the Proceeding; nor does it delete a file that another record still uses; the docket notices and notices of filings saved from the portals follow their own retention period (Section 14.4). Deleted items leave the database immediately, and the backups within fourteen (14) days, when the daily copies rotate and the one-off copies are deleted (Section 6.9). Deletion of the data of an entire account is requested from the User's Firm Administrator or from the Publisher (Section 14.4). ## 10. Third-Party Services Each Third-Party Service is connected under the User's own agreement with its provider, to which the Publisher is not a party: its availability, costs, security, data retention, and use of data to train models depend on the User's account. The Publisher is not liable for the independent decisions, interruptions, prices, terms, or processing of a Third-Party Service engaged by the User. This exclusion does not cover errors in the integration that the Publisher developed, data sent without the User's instruction, or the Publisher's own breach of its security obligations. The artificial intelligence functions send the chosen provider what the Privacy Policy describes (Section 9): the question and the case file of the Proceeding, including excerpts from the notes referred to in Section 6.8; only the document being summarized or analyzed; or only the question of a legal consultation that the Platform Administrator makes without tying it to a Proceeding; each User uses them with the User's own account and, until the User connects one, they are not available to the User; the Publisher's artificial intelligence account is used only in H&A's Proceedings and consultations—the Proceedings handled by the Platform Administrator or by a lawyer of the Administrator's firm, and the legal consultations the Platform Administrator makes without tying them to a Proceeding—and to review, maintain, and debug the Service itself, never to do the work of lawyers of other firms on their Proceedings, documents, or data (if a review of the Service needs to look at logs or tables in which data from their case files appear, those data are used only to review the Service: Section 25.4); and no automated task of the Service sends data to an artificial intelligence provider: automatic document analysis is turned off and, should it ever be turned on, this version would be changed beforehand. The User's credentials are stored as described in the Privacy Policy (Section 11.1). The User may disconnect each service in “Mi cuenta” (My account) and must revoke with the provider any access the User no longer uses. ## 11. Public Sources The Service, on the User's instruction, performs scheduled queries of public judicial and legal information systems: for monitoring, it sends them the case numbers and proceeding numbers of the monitored Proceedings and, in searches, what the User types. What it obtains is data accessible in public judicial information systems: the Publisher processes such data on behalf of the User Firms and only to monitor their Proceedings—which includes checking the docket notices and notices of filings of their courts to identify or verify notifications of the Proceedings the firm monitors or adds later—and does not publish them or offer them to third parties. Those systems belong to third parties and publish terms of use and technical measures (such as robots.txt) that may restrict or prohibit automated queries and the reuse of their content. The Publisher does not represent that any source must allow scheduled queries or that the Service has a right to demand access to it, and may reduce the frequency, change the method, or limit, suspend, or withdraw any source or download, without liability, to conform to those rules, to a technical measure, to a request from an authority, or to a legal or continuity risk. As Controller, the User is responsible for the lawfulness of the Processing of the data of the parties to the User's Proceedings within the scope of the User's mandate and of the defense of rights in court. The User assumes the risk that a source may become unavailable and continues to verify the User's Proceedings through the official channels. This allocation of risk applies only between the Publisher and the User: it does not limit the rights of third parties or release the Publisher from liability for its own conduct where the law does not permit it. The Publisher has no relationship with the Colombian Judicial Branch (Rama Judicial) or the courts, and the Service is not an official system and is not endorsed by them. ## 12. Acceptable Use The User will use the Service only for the User's professional practice (an Invited Client, to view the client's portal) and in accordance with the law. The User must not probe the Service for vulnerabilities or circumvent its security; scrape it, download its content in bulk, automate access to it, or overload it; attempt to access data of another firm or another User, or functions outside the User's role; upload malicious code; use it for unlawful purposes, to profile or monitor people instead of proceedings, or against third-party rights; share the User's account, or resell, sublicense, or offer access to third parties; reverse engineer it, except to the extent the law permits; or use it to develop a competing product. The Publisher may suspend anyone who breaches this Section (Section 14.2). ## 13. Fees The Publisher sets the price for each active Professional User account per month, based on the activity periods the Service records; Invited Clients' accounts are not charged. Price, method of payment, invoicing, and taxes are agreed separately, in writing, with each User Firm. Absent that agreement, use is on an evaluation basis, and the Publisher may condition or terminate it on seven (7) days' notice. Price changes are announced thirty (30) days in advance. The billing report in the panel is data for invoicing, not an invoice. ## 14. Suspension and Termination ### 14.1 Termination The User may terminate the relationship at any time by requesting deactivation of the User's account from the User's Firm Administrator or from the Publisher, and the User Firm may do so by written notice from its Firm Administrator to the Publisher; if the written fee agreement sets a notice period, that notice period applies. The Publisher may terminate without cause by e-mail notice given at least thirty (30) days in advance (seven (7) days for evaluation use), unless the written fee agreement sets a different period, and immediately for material breach, security risk, an order of an authority, legal impossibility, or non-payment. If the Publisher terminates without cause during a prepaid period, it refunds the unearned pro rata portion, unless otherwise agreed in a written economic agreement. ### 14.2 Suspension The Publisher may suspend or limit the access of a User or a User Firm, with prior notice, for breach of these Terms, for a security risk, or for non-payment; and without prior notice in the event of a serious risk, such as a compromised account or an ongoing attack, in which case it will give notice as soon as possible. ### 14.3 Effects When the relationship with a User Firm ends, the Service stops monitoring its Proceedings and alerting its deadlines; when an account is deactivated, it can no longer sign in or receive alerts. From then on, the User monitors the User's Proceedings and controls the User's deadlines by other means. ### 14.4 Retention, Copy, and Deletion - **Deactivated account:** its data are retained while the User Firm maintains its relationship with the Publisher, and for billing and the defense of claims. At the request of the firm's Firm Administrator—or of the Data Subject, when only the account data are concerned or the account belongs to no firm—and once the account is deactivated, the Publisher deletes them within the claim period (fifteen (15) business days, extendable by up to eight (8), Article 15 of Law 1581 of 2012), except what must be retained for those purposes or by law: the account stops following all its Proceedings (those that only it followed without archiving stop being monitored, and their public part is kept without any link to the account); all its rows in the database are deleted (deadlines, alerts, notes, drafts, documents, saved case law, e-mails from its mailboxes, fees, reports, summaries, artificial intelligence conversations, and what it showed to its clients and, for an Invited Client's account, its portal accesses), together with its credentials for Third-Party Services (Google is asked to revoke the Drive permission), its backup copy, and the problem reports it sent, and its files go to the trash (Section 9.6). Of the account only what billing needs remains—the username, the firm, the role, and the periods in which it was active—while needed for billing and the defense of claims and for at most five (5) years after deletion, without name, e-mail, password, preferences, or acceptance records (the proof of acceptances remains in the access log); the access-log lines follow their own period, the backup copies are deleted when they rotate, within fourteen (14) days, and what other users recorded with that username in their own records is kept. The accounts of the clients the lawyer invited are not deleted with it. A Data Subject's request does not, by itself, authorize deleting User Content for which the User Firm is the Controller: the Publisher forwards it to the firm (Section 25.6) and follows its instruction. - **End of the relationship with a User Firm:** its data are deleted within ninety (90) days thereafter, except backups, whose daily copies rotate and whose one-off copies are deleted after fourteen (14) days (Section 6.9), and what the law requires to be retained. If the firm requests a copy within that period, it is delivered before deletion, in the format of “Tu copia de seguridad” (Your backup). - **A Proceeding no one follows any longer**—because the data of the account that followed it were deleted or because whoever followed it stopped doing so without deleting it—keeps its public part (docket entries, parties, and court documents) for up to one (1) year after the Service last queried it or, if anything of any lawyer still remains in it at that point, until nothing remains, whichever is later, and it is then deleted (its files go to the trash). Whatever remains in it of any lawyer, such as what was kept from a removed delegation, is not deleted by the passage of time: it is deleted with the data of that lawyer's account or, when the firm's relationship with the Publisher ends, with the rest of that firm's data, and while it remains, the Proceeding is kept whole, with its public part, so that the lawyer's firm can monitor or delegate it again without losing the work done. If the only lawyer who follows it deletes it, it is deleted entirely at once (its files go to the trash). Archiving a Proceeding is not stopping following it. - **Logs:** the access log is kept for five (5) years from each entry, solely for security, traceability, incident investigation, compliance, billing, and the defense of claims, with restricted access; the acceptance records stored in the account, while the account exists (they are deleted with its data); the proof of each acceptance (version, date and time, IP address, and hash) remains in the access log for its five (5) years; the review history, two (2) years; technical logs, for at most ninety (90) days (Section 25.8). ### 14.5 Survival Termination does not affect accrued payments or Sections 3, 7, 9, 14.4, and 15 through 21, or the Annex while the Publisher retains data of the User Firm. ## 15. Intellectual Property The Service, its code, its design, its catalog of deadlines, its help texts, the notes in its knowledge base, and its trademarks, including the name “Buscador de Estados” and its logo, belong to the Publisher or its licensors. The User receives a personal, non-exclusive, non-transferable, and revocable right to use the Service while the User's account is active, without any license to the code or the trademarks. Statutes and court decisions do not belong to the Publisher, and third-party components are governed by their own licenses. The Publisher may freely use the suggestions the User sends about the Service, without disclosing User Content. ## 16. Disclaimer of Warranties > **THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL DETECT EVERY DOCKET ENTRY, DOCKET NOTICE, NOTICE OF FILING, OR NOTIFICATION, THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT THE DEADLINES IT PROPOSES OR COMPUTES ARE ACCURATE, THAT WHAT ARTIFICIAL INTELLIGENCE PRODUCES IS CORRECT, THAT ALERTS WILL ARRIVE ON TIME, OR THAT THE PUBLIC SOURCES OR THIRD-PARTY SERVICES WILL BE AVAILABLE OR ACCURATE.** This Section does not exclude warranties that the law declares non-waivable, the express commitments in these Terms and the Annex, or the legal duties of confidentiality, security, and Processing of data, and it does not protect fraudulent or intentionally false statements. ## 17. Limitation of Liability ### 17.1 Excluded Damages > **TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF REVENUE, CLIENTS, OR DATA, OR FOR THE LOSS OF A DEADLINE, A PROCEDURAL OPPORTUNITY, OR A CASE, EVEN IF ADVISED OF THEIR POSSIBILITY, REGARDLESS OF WHETHER THEY ARE CLAIMED AS DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES.** ### 17.2 Cap > **TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLISHER'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICE OR THESE TERMS, AS TO A USER FIRM, ITS USERS, AND ITS INVITED CLIENTS, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS THAT USER FIRM, ITS USERS, AND ITS INVITED CLIENTS, IN THE AGGREGATE, PAID THE PUBLISHER FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST RELATED CLAIM AND (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100); THE CAP IS A SINGLE CAP FOR THE USER FIRM, ALL OF ITS USERS, AND ITS INVITED CLIENTS.** ### 17.3 Exceptions and Allocation of Risk Sections 16, 17.1, and 17.2 exclude the Publisher's liability for fault (culpa) of any degree: the Publisher is liable only for dolo (intent)—which includes fraud, and whose future waiver is void (Colombian Civil Code, Article 1522)—for willful misconduct or intentional wrongdoing under New York law, and to the extent applicable law does not permit exclusion or limitation. To the extent governed by Colombian law, the parties modify by contract the rules of liability, as Articles 1604 and 1616 of the Colombian Civil Code permit. These limitations are a reasonable allocation of risk between professionals and an essential element of the price and of the very existence of the Service. The Service may contain errors: the User always double-checks, through the official channels and in the case file, what the Service shows. ## 18. Indemnification The User Firm and the Professional User who engaged in the conduct will indemnify, defend, and hold harmless the Publisher and its shareholders, lawyers, and employees from and against any third-party claims, demands, liabilities, damages, losses, settlements, and reasonable defense costs, including attorneys' fees, to the extent caused by (a) use of the Service contrary to these Terms or the law, or (b) User Content uploaded or connected without the necessary authorization or legal basis or in violation of third-party rights, data protection rules, or professional secrecy. This obligation does not apply to Invited Clients (except as provided in Section 8), does not include penalties whose shifting is prohibited, and does not cover the portion of a claim caused by the Publisher. The Publisher will promptly give notice of the claim; the indemnifying party may conduct the defense with counsel reasonably acceptable to the Publisher; and no settlement that admits liability, imposes non-monetary obligations, or affects the Publisher's rights or reputation will be entered into without its written consent. ## 19. Time Limit for Claims To the extent permitted by applicable law, any legal action against the Publisher arising from these Terms or the Service must be brought within one (1) year after the date on which the cause of action accrued and could legally be asserted; after that, it may not be brought. This clause does not shorten any period that the law prohibits modifying (in Colombia, the statutory periods of prescripción and caducidad), does not apply if it would cause the period to expire before the action could reasonably be brought, and does not limit the powers of any administrative authority. ## 20. Governing Law and Forum ### 20.1 Governing Law These Terms are governed by the substantive law of the State of New York, United States, without regard to its conflict-of-laws rules, except to the extent that Colombian law applies to obligations performed in Colombia (Colombian Commercial Code, Article 869) or that another rule cannot validly be excluded by agreement. ### 20.2 Rules Not Displaced The foregoing choice does not exclude Law 1581 of 2012 and its implementing regulations, the jurisdiction of the Colombian Superintendence of Industry and Commerce (Superintendencia de Industria y Comercio), or any other rule of Colombia or of the jurisdiction where the User resides that cannot validly be waived or displaced. ### 20.3 Forum Except for proceedings that fall to the Superintendence of Industry and Commerce or to another authority with non-waivable jurisdiction, any judicial dispute arising from these Terms or the Service will be brought exclusively in the state courts located in Kings County, New York, or, if there is an independent basis for federal subject-matter jurisdiction, in the United States District Court for the Eastern District of New York. Each party consents to the personal jurisdiction of those courts and waives any objection to that forum on the ground that it is inconvenient. This clause does not create federal jurisdiction where federal law does not confer it. There will be no arbitration. ### 20.4 Jury Waiver > **TO THE EXTENT PERMITTED BY LAW, THE PARTIES WAIVE TRIAL BY JURY IN ANY DISPUTE ARISING FROM THESE TERMS OR THE SERVICE.** ## 21. General Provisions - **Severability:** an invalid provision is enforced to the maximum extent possible, and the remaining provisions stay in effect. - **Assignment:** the Publisher may assign these Terms to an affiliate or to a successor by merger, acquisition, or sale of assets, with notice to the User; the User, only with the Publisher's written consent. - **Force majeure:** neither party is liable for delay or non-performance caused directly by an unforeseeable and irresistible event under the applicable law (in Colombia, Article 64 of the Civil Code)—for example, an outage or blocking of the Public Sources, the internet, or a provider, a cyberattack, an act of authority, or a disaster—provided that the party has taken reasonable prevention, mitigation, and continuity measures and gives notice without delay; none of those events is, by itself, force majeure. It does not excuse accrued payments or duties of security and confidentiality whose breach is attributable to the affected party. - **Notices:** the Publisher gives notice to the User at the e-mail address of the User's account or in the panel, and the User to the Publisher at mateo@hoyos.law. Terminations, security incidents, and changes that require acceptance are not notified only in the panel: they are also sent to the last registered e-mail address, and the Publisher keeps a record of the sending. An e-mail is deemed received on the business day after it is sent, unless notice of non-delivery is received. The User consents to electronic communications and keeps the User's e-mail address current in “Mi cuenta” (My account). - **Languages:** both versions are official; if they differ, the Spanish version prevails for matters governed by Colombian law and the English version prevails for matters governed by the law of the State of New York. - **Entire agreement:** these Terms, the Annex, and, if one exists, the written fee agreement (Section 1.3) are the entire agreement concerning the Service; if they conflict, the Annex prevails on Processing on behalf of the User Firm, the written fee agreement prevails only on its express economic terms, and these Terms prevail on everything else. - **Independence, no waiver, and third parties:** the parties are independent, with no partnership, agency, mandate, or employment or attorney-client relationship; failing to enforce a provision is not a waiver of it; and no one else acquires rights under these Terms, except those protected by Section 18. ## 22. Changes to These Terms The Publisher may modify these Terms and the Annex. Each version bears its number and effective date, is published at the path /terminos, and is announced before it applies by e-mail to each account and, at sign-in, on the acceptance screen, where the box must be checked again; until then, the panel cannot be used, and the accepted version governs. Material changes (those that expand the User's obligations or liability, reduce the User's rights, or change the Processing of the User's data) bind the User only from that express acceptance: continuing to use the Service is not enough. Whoever does not accept may request deactivation of the account and a copy of the User's data (Section 14.4). Price changes follow Section 13. Changes to the Privacy Policy are announced in the same way (Privacy Policy, Section 17). ## 23. Security Recommendations - Use a unique and long password (a phrase of four or more words, or sixteen (16) or more characters), keep it in a password manager, and do not share it. - On shared computers, sign out and do not check “Recordarme” (Remember me); keep your operating system and browser up to date. - Alerts are sent from an account in the hoyos.law domain, and the Publisher will never ask for your password by e-mail, phone, or message: type it only at the Service's address. - Download “Tu copia de seguridad” (Your backup) at least once a month and keep it in a safe place. - Always double-check—through the official channels and in the case file—what the Service shows you, and what artificial intelligence produces (citations, dates, and facts) before using it. - Check whether your artificial intelligence provider retains your data or trains on it, and revoke in “Mi cuenta” (My account) and with each provider any access you no longer use. - Treat your calendar link like a password; when reporting a problem, attach only what is necessary, and report immediately any unauthorized access through “Reportar un problema” (Report a problem) and to mateo@hoyos.law with the subject line “URGENTE — incidente de seguridad” (URGENT — security incident). ## 24. Annex: Conditions for Processing Data on Behalf of the User ### 25.1 Nature, Parties, and Data This Annex is the personal data transmission agreement between the User Firm, as Controller, and the Publisher, as Processor (Decree 1074 of 2015, Articles 2.2.2.25.5.1 and 2.2.2.25.5.2). It is entered into upon acceptance of these Terms, before the firm uploads or connects any case files; at the User Firm's request, the Publisher signs with it a documentary counterpart with the same content, for record purposes, without that additional signature being a condition of the Annex's effectiveness. The User Firm is identified as provided in Section 4.2. It covers the Personal Data in the User Firm's User Content (parties, counsel, clients, witnesses, and other persons in its Proceedings), including the data accessible in public judicial information systems that the Service obtains for its case numbers and any Sensitive Data or minors' data the case file contains. It does not cover the data for which the Publisher is the Controller (Section 9.5) or the Proceedings of the Publisher's own lawyers. ### 25.2 Instructions and Activities The Publisher processes those data solely on behalf of the User Firm and to provide it with the Service. Its instructions are these Terms and what its Professional Users order in the panel (adding a case number, connecting a mailbox or a folder, uploading a document, clicking an artificial intelligence function, showing something to a client, or deleting). The Processing consists of collecting from the Public Sources and from the connected Third-Party Services, storing, extracting text (with OCR when needed), indexing and matching against publications and e-mails, computing deadlines and issuing alerts, displaying to authorized Users, sending to the Third-Party Services the User activates, backing up, and deleting. The Publisher processes the data in accordance with the instructions documented in these Terms, in this Annex, and in the lawful instructions that the User Firm communicates through the channels in Section 24; it applies the User Firm's obligations under the User Firm's information Processing policy, and processes the data in accordance with the purposes the Data Subjects authorized and with applicable law (Decree 1074 of 2015, Article 2.2.2.25.5.2). The User Firm provides the Publisher, when needed, with the current version of its policy and any restrictions that apply to specific categories of data; if that policy requires something the Service does not do, the User Firm states so in writing before uploading the data. The Publisher gives notice before the relevant Processing if an instruction cannot be executed technically or if it reasonably considers that the instruction violates the law, and, while the matter is resolved, it may suspend only the affected operation; no instruction expands the scope of the Service without the Publisher's written acceptance. ### 25.3 Publisher's Obligations The Publisher will process the data in the name of the User Firm in accordance with the principles that protect them, safeguard the security of the databases that contain them, keep their Processing confidential even after the relationship ends, and comply with the duties of Article 18 of Law 1581 of 2012. In particular, as Processor, the Publisher: - guarantees the Data Subject, at all times, the full and effective exercise of the right of habeas data; - keeps the information under security conditions that prevent its alteration, loss, consultation, use, or unauthorized or fraudulent access; - carries out in a timely manner the updating, rectification, or deletion that the User Firm instructs or that is required by law; - updates the information that the User Firm reports to it within five (5) business days after receipt; - receives and handles consultations and claims within the terms of Articles 14 and 15 of Law 1581 of 2012, without prejudice to forwarding them to the User Firm when it is for the User Firm to decide them (Section 25.6); - adopts an internal manual of policies and procedures for handling consultations and claims; - records the legend “reclamo en trámite” (claim in process), only in the space of the User Firm that is the Controller to which the claim relates, within two (2) business days after receipt of the complete claim; the Proceeding's page shows it to that firm's lawyers who follow the Proceeding—including anyone from that firm who joins while it lasts—and those with an active account who have not archived it receive it as an alert; it never reaches other firms that follow the same Proceeding; it is withdrawn when the claim is decided, and notice is given; - records the legend “información en discusión judicial” (information under judicial dispute) in the same way, for that firm only, when an authority notifies it of a proceeding concerning the quality of the data, and keeps it until the final decision; - refrains from circulating information disputed by the Data Subject whose blocking the Superintendence of Industry and Commerce has ordered; - allows access only to authorized persons; - informs that Superintendence of violations of security codes and of risks in the management of the Data Subjects' information; and - complies with the instructions and requirements of that Superintendence. ### 25.4 Security, Personnel, and Sub-processors The security measures are those described in the Privacy Policy, including encryption of the disk at rest (256-bit AES), encryption in transit (TLS up to the Publisher's server), the protection of credentials described in its Section 11.1, the wall between firms, and each lawyer's artificial intelligence sessions, with their own configuration and no tools that read or write on the server (with ChatGPT, also inside a system sandbox). The Service runs on a single virtual server; the key that encrypts the credentials is on it (it protects against exposed copies, files, and logs, not against someone who gets into the server); the Platform Administrator has administrative access to everything, subject to the limits of Section 9.3; there is no two-step verification; and no system is invulnerable. The Publisher periodically reviews the need for additional controls (stronger authentication, separation of privileges, copies outside the server). The Publisher maintains the security program described in the Privacy Policy (Section 11.1), designed to comply with N.Y. General Business Law § 899-bb; that program is not a guarantee that no incident will ever occur. Only the Platform Administrator and those whom the Publisher authorizes in writing under the same duty of confidentiality access the data, for the purposes of Section 9.3. The Publisher engages each sub-processor under that provider's terms of service, entrusts it only with the function in the table, and remains responsible to the User Firm for what it delegates to them, without prejudice to the defenses and limitations that validly apply. The Publisher's artificial intelligence account is an Anthropic Claude Max subscription, governed by Anthropic's consumer terms, which do not include a data processing agreement. The Publisher has disabled in it the use of conversations to train Anthropic's models; even so, under those terms, Anthropic may retain and review what it receives, and may use to train its models what it flags for a safety review or what the Publisher sends it as feedback on a response. The Publisher will notify each User Firm's Firm Administrator by e-mail, thirty (30) days in advance, of any new or changed sub-processor, except in a security or continuity emergency, which it will announce as soon as possible; a User Firm that objects on reasonable grounds may terminate the relationship without penalty. Third-Party Services are not sub-processors of the Publisher but providers of the User that receive data on the User's instruction; the User Firm is responsible for assessing them and for the Transfer or Transmission each sending entails. ### 25.5 Location and International Transmissions The Service's database and main files are hosted on an Oracle Cloud Infrastructure server in Bogotá (Colombia); some data, copies, or communications are also stored outside Colombia in the cases in Section 25.4 and in the Privacy Policy. Data leave for the United States through the sub-processors in Section 25.4 and through what the User sends, with the User's account, to the User's Third-Party Services; the Publisher's authorized personnel may access them through an encrypted connection from the United States; the Public Sources receive the monitored case numbers and proceeding numbers and what the User types in searches. Access from outside Colombia is international circulation of the data; it is an international Transmission only when whoever accesses the data processes them on another's behalf—for example, the Publisher's personnel on behalf of a User Firm—and it is then governed by this Annex. The United States appears on the list of countries with an adequate level of protection of the Superintendence of Industry and Commerce (External Circular 005 of 2017, Title V, Chapter Three, numeral 3.2 of the Circular Única, as amended by External Circular 008 of 2017). By accepting this Annex, the User Firm authorizes the Transmissions to the sub-processors and the disclosures to Anthropic described in Section 25.4. For each Third-Party Service it activates, the User Firm determines, based on the provider's terms, whether the sending is a Transmission to a Processor (in which case it has the agreement that the rules require) or a Transfer to another Controller (in which case it has the Data Subjects' authorization, an exception under Article 26 of Law 1581 of 2012, or the applicable international mechanism). The Publisher carries out the sending only on the User's instruction and is responsible for the security of its own integration, not for the provider's independent decisions. ### 25.6 Data Subject Requests If a Data Subject submits to the Publisher a consultation or a claim about data for which the User Firm is the Controller, the Publisher will forward it to the User Firm within two (2) business days and inform the Data Subject (Law 1581 of 2012, Article 15). It will cooperate so that the User Firm responds within the terms of Articles 14 and 15 of that law (consultations: ten (10) business days, extendable by up to five (5); claims: fifteen (15) business days, extendable by up to eight (8)), and will carry out within those terms the search, export, rectification, or deletion that the firm requests and cannot perform itself in the panel. ### 25.7 Security Incidents If the Publisher becomes aware of a security breach affecting a User Firm's data, it notifies the Firm Administrator, with what is known (what happened, which data and Data Subjects may be affected, what was done, and who the contact is), without undue delay and, in any event, within seventy-two (72) hours after becoming reasonably aware of the incident; the initial notice may be preliminary and is supplemented as more becomes known. It informs the Superintendence of Industry and Commerce through the channel, with the content, and within the time limit set by law and by that Superintendence's instructions in force at the time of the incident, and cooperates with the User Firm in the notifications that fall to the User Firm as Controller. When an incident may constitute a “breach of the security of the system” with respect to “private information” of New York State residents within the meaning of N.Y. General Business Law § 899-aa, the Publisher makes the determinations that law requires and, if the breach must be notified, gives or facilitates the corresponding notices: if it maintains that information on behalf of a User Firm that owns or licenses it, it notifies the firm immediately, within the seventy-two (72)-hour period in this Section, which is shorter than that law's maximum of thirty (30) days; if the Publisher owns or licenses the information, it itself gives the notices to residents and authorities that fall to it in the most expedient time possible and without unreasonable delay, and in any event no later than thirty (30) days after discovery (except for any delay requested by a law enforcement agency for a criminal investigation), and cooperates with those that fall to the User Firm. ### 25.8 Record of Operations The Publisher keeps the access log (with the date and time, the event, the user, and, for sign-ins, sign-outs, failed sign-ins, access requests, and acceptances, the IP address) for five (5) years from each entry, solely for security, traceability, incident investigation, compliance, billing, and the defense of claims and with restricted access, and records each review with its phases, errors, and warnings. The acceptance records stored in the account are kept while the account exists (they are deleted with its data); the proof of each acceptance (version, date and time, IP address, and hash) remains in the access log for its five (5) years. Technical logs, which may contain case numbers, file names, and what is searched for in the panel, are kept in one file per day, and each file is deleted no later than eighty-nine (89) days after its last line, so that no line exceeds ninety (90) days; the server's system journal keeps at most ninety (90) days. The review history is kept for two (2) years: at the start of each review, reviews older than two years are deleted. ### 25.9 Deletion, Return, and Information When the relationship ends, the Publisher delivers the copy and deletes the data in accordance with Section 14.4, including the last backup generated on the server and the credentials for the Third-Party Services; what is deleted from the disk passes through the fourteen (14)-day trash of Section 9.6. It will respond in writing to the User Firm's reasonable requests to demonstrate compliance with this Annex, without giving access to its systems or to other firms' data. ### 25.10 User Firm's Duties As Controller, the User Firm has the Data Subjects' authorization, or a legal exception, for each item of data it uploads or connects; informs them of what the law requires; provides only data whose Processing is authorized; promptly informs the Publisher of updates, rectifications, and data disputed through a claim; handles the consultations and claims that the Publisher forwards to it; designates as Firm Administrator someone authorized to know what the Service shows about the firm, including the totals of its receivables (Section 6.7), binds that person to confidentiality, and is responsible for the use and custody of anything that person downloads; and complies with the other duties of Article 17 of Law 1581 of 2012. ### 25.11 Term and Precedence This Annex remains in effect while the Publisher processes data on behalf of the User Firm, and the confidentiality and security obligations survive until the data are deleted. For that Processing, it prevails over the rest of these Terms. Sections 16 through 20 apply to this Annex, without prejudice to penalties imposed by the authority and to what the law does not permit to be limited.
